AMENDMENT NO. 1 TO AGREEMENT FOR CONTRACT SERVICES
WITH RY+AO
This Amendment No. 1 ("Amendment 1") to Agreement for Contract Services
("Agreement") is made and entered into as of the 7th day of July 2025, ("Effective Date")
by and between the CITY OF LA QUINTA ("City"), a California municipal corporation and
RY+AO ("Contracting Party").
RECITALS
WHEREAS, on or about May 7, 2025, the City and Contracting Party entered into
an Agreement to provide services related to design and related professional services for
the X-Park Building ADA Improvements Project no. 2023-08, for a total not to exceed
amount of $104,900. The term of the Agreement expires on December 31, 2026 ("Initial
Term"); and
WHEREAS, in accordance with Section 1.7 Additional Services of the Agreement,
the City and Contracting Party mutually agree to amend Section 1.1 Scope of Services
and related Exhibit A of the Agreement to include additional services as identified in
Exhibit A attached to this Amendment No. 1, and incorporated herein by this reference;
and
WHEREAS, in accordance with Section 2.3 Compensation for Additional Services,
the City and Contracting Party mutually agree the above -mentioned additional services
shall be provided at a not to exceed amount of $3,510 as detailed in Exhibit A, which is
within the allowed 5% or less of the Contract Sum of $104,900 per Section 2.1 Contract
Sum of the Agreement.
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows-
1 . Section 1.1 Scope of Services is amended to read as follows:
Section 1.1 — Scope of Services. In compliance with all terms and conditions of
this Agreement, Contracting Party shall provide those services related to design and
related professional services for the X-Park Building ADA Improvements Project no.
2023-08, as specified in the "Scope of Services" attached hereto as "Exhibit A" and
incorporated herein by this reference (the "Services"). Contracting Party represents and
warrants that Contracting Party is a provider of first-class work and/or services and
Contracting Party is experienced in performing the Services contemplated herein and, in
light of such status and experience, Contracting Party covenants that it shall follow
industry standards in performing the Services required hereunder, and that all materials,
if any, will be of good quality, fit for the purpose intended. For purposes of this Agreement,
the phrase "industry standards" shall mean those standards of practice recognized by
one or more first-class firms performing similar services under similar circumstances.
2. "Exhibit A" — Scope of Services is amended to include the additional services
detailed in Exhibit A, attached to this Amendment No. 1, and incorporated herein
by this reference.
In all other respects, the original Agreement shall remain in effect.
IN WITNESS WHEREOF, the City and Contracting Party have executed this
Amendment No. 1 to the Agreement on the respective dates set forth below.

Exhibit A
Scope of Services
The ACE services included in this proposal are as follows:
• Review Documents: Review the available structural calculations and information obtained during
a previous site visit to infer member sizes and layout.
• Structural Analysis: Provide high-level strucnral analysis to determine whether the existing main
roof (second level) franung. posts, and foundations are adequate to support the 100 psf live load
required to publicly occupy the roof
• Deliverables: Develop a brief narrative summar• to outline the results_ including high-level
strengthening schemes. if required. This informatiotn would then be used to Inform a filture change
order upon authorization to proceed.
• tileetings: Rye have allowed for two (2) virtual meetings. if required.
The fee for the above -described services shall be a fixed fee in the amount of Three Thousand Five
Hundred Ten Dollars ($3,510.00) as follows:
