Agreement between Michael Baker International, Inc. and City of La Quinta for the transfer of Computer
Aided Design and Drafting (CADD) files on Electronic Media.
In consideration for Michael Baker International, Inc. providing the requested CADD files for the
SilverRock Venue Site (the "CADD files"), to be used at the convenience of City of La Quinta solely for
the above project, the following is agreed and understood:
1. Michael Baker International, Inc. and to the extent applicable, its consultants that were utilized in
the creation of the CADD files make no representation or warranty as to the compatibility of the
CADD files with any hardware or software, or from the modification or conversion of the CADD
files into another format.
2. Because the information set forth on the CADD Files can be modified unintendedly or otherwise,
Michael Baker International, Inc. and to the extent applicable, its consultants that were utilized in
the creation of the CADD files, reserve the right to remove all indicia of ownership and/or
involvement from each electronic display. The CADD files and the media on which they are
provided should not be considered certified documents.
To the fullest extent allowed by law, Michael Baker International, Inc. and to the extent
applicable, its consultants that were utilized in the creation of the CADD files, make no
representation or warranty regarding the accuracy, title, non -infringement, completeness, or
permanence of the CADD files. ALL IMPLIED WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE ARE HEREBY DISCLAIMED BY MICHAEL
BAKER INTERNATIONAL, INC. City of La Quinta acknowledges that it has not relied on any
representation or warranty other than those expressly set forth herein in signing this Release.
City of La Quinta shall, to the fullest extent permitted by law, indemnify, defend, and hold
harmless Michael Baker International, Inc. and to the extent applicable, its consultants that were
utilized in the creation of the CADD files from all claims, damages, losses, expenses, penalties, and
liabilities of any kind, including attorney's fees, arising out of or resulting from any use of the
CADD files by Company it affiliates, parents, subsidiaries, divisions, related agencies,
subcontractors, employees, partners (if a partnership) or other third parties.
