In accordance with Section 11932 of the California Revenue and Taxation Code, Grantor (as
defined below) has declared the amount of transfer tax which is due by a separate statement
which is not being recorded with this deeli.
FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged, .
Dolphin La Quinta, LLC, a California lirnited liability company ("Grantor"), hereby GRANTS
to CP Development La Quinta, LLC, a California limited liability company ("Grantee"), that
certain real property in the City of La Quinta, County of Riverside, State of California (the
"Property"), more particularly described as:
Those portions of Parcel 2 of Parcel Map No. 31116, in the City of La Quinta,
County of Riverside, State of California, as shown on the Parcel Map filed on
April 4, 2005, in Book 212 of Parcel Maps, at pages 60-66, as Instrument No.
2005-0262238, in the Office of the County Recorder of Riverside County; which
is overlaid by the reconfigured shape of Parcel "A" pursuant to Lot Line
Adjustment 2008-495 approved by the City of La Quinta. The reconfigured,
Parcel "A" is described in Exhibit "A" and its boundaries are depicted in Exhibit
"B" both attached hereto and made a part hereof.
PROVIDED HOWEVER, that this deed and the warranty of title contained herein is
made and accepted expressly (as between Grantor and Grantee only) subject to the following
matters affecting the Property: (i) all matters of record (whether created by Grantor or
otherwise); (ii) all off -record matters that could be discovered by a survey or inspection of the
Property (whether created by Grantor or otherwise); and (iii) all other off -record title defects or
encumbrances (i.e., other than those described in clause (ii) above), that were not created by or
through Grantor as provided in Civil Code Section 1113.

AND FURTHER PROVIDED, that Grantee accepts the Property subject to the following
paragraphs (1), (2) and (3):
(1) As used herein, the "Existing BuildinE" means the single story four-plex
residential condominium building containing four (4) residential units which currently exists on
the Property. Grantee covenants to Grantor that, prior to or concurrently with any development
of the Property, Grantee shall perform one of the following two options: (i) demolish the
Existing Building; or (ii) move the Existing Building to that portion of the Property that is east of
the currently existing parking area on the Property, in a location that complies with all applicable
set -back and other legal requirements. if Grantee elects to move the Existing Building under
option (ii) above, then Grantee further covenants to Grantor that the use of the Existing Building
shall be restricted of record to rental residential units included in a rental program servicing the
existing adjacent hotel and its golf course and shall not be sold to individual end -users (although
residential units may be sold to investors, so long as the use of the residential units continue to be
restricted of record to rental residential units included in a rental program servicing the existing
adjacent hotel and its golf course). and
(2) Grantee further covenants to Grantor that (i) Grantee shall not utilize the
underground utility facilities (i.e., sewer, water, electric and any others) currently existing within
the Property as of the date of conveyance of the Property, and shall, at Grantee's expense,
remove such facilities and replace them with new facilities at such time as Grantee develops the
Property, including appropriate caps at the: property line with the Benefitted Property (defined in
paragraph (3) below] with respect to any such utility facilities that are connected with utility
facilities on the Benefitted Property.
(3) Each of the foregoing covenants of Grantee set forth in paragraphs (1) and (2)
above (i) shall constitute covenants running with the land, as contemplated by California Civil
Code Section 1468, and shall run with and bind the Property and each portion thereof and all
present and future owners thereof, for the benefit of the real property represented by the
reconfigured shape of Parcel "B" pursuant to Lot Line Adjustment 2008-495 approved by the
City of La Quinta, Riverside County, California, the boundaries of which are depicted in Exhibit
"B" (identified thereon as Parcel "B") as further described on Exhibit "C" (identified thereon as
Parcel "B") attached hereto and made a part hereof and each portion thereof (the "Benefitted
Property") and all present and future owners thereof (including Grantor), (ii) shall be
appurtenant to and shall burden the Property and each portion thereof as equitable servitudes for
the benefit of the Benefitted Property and each portion thereof, and (iii) may be enforced by
Grantor or any successor owner of the Benefitted Properly or any portion thereof in an action or
proceeding for declaratory and/or injunctive relief and/or damages, as well as any other rights or
remedies available at law or in equity.
