WEBB ASSOCIATES This Amendment No. 1 ("Amendment 1") to Agreement for Contract Services ("Agreement") is made and entered into as of the 1st day of November, 2025, ("Effective Date") by and between the City of La Quinta ("City"), a California Municipal Corporation and Charter City organized under the Constitution and laws of the State of California with its principal place of business at 78495 Calle Tampico, La Quinta, California 92253, and Albert A. Webb Associates with a place of business at 3788 McCray Street, Riverside, California 92506 ("Contracting Party"). RECITALS WHEREAS, on or about March 19, 2025, the City and Contracting Party entered into an Agreement to provide services related to design and related professional services for the Washington Street Connector to Arts and Music Line Project No. 2023-09, for a total not to exceed amount of $263,062. The term of the Agreement expires on December 31, 2027 ("Initial Term"); and WHEREAS, in accordance with Section 1.7 Additional Services of the Agreement, the City and Contracting Party mutually agree to amend Section 1.1 Scope of Services and related Exhibit A of the Agreement to include additional engineering services related to design and related professional services for the Washington Street Connector to Arts and Music Line Project No. 2023-09, detailed in Exhibit A attached to this Amendment No. 1 and incorporated herein by this reference; and WHEREAS, in accordance with Section 2.3 Compensation for Additional Services, the City and Contracting Party mutually agree the above mentioned additional services shall be provided at a not to exceed amount of $13,072 as detailed in Exhibit B, which is within the allowed 5% or less of the Contract Sum of $263,062 per Section 2.1 Contract Sum of the Agreement; and WHEREAS, the City and Contracting Party mutually agree to amend Section 2.1 Contract Sum and related Exhibit B of the Agreement to increase compensation by $13,072, for a total not to exceed amount of $276,134. NOW THEREFORE, in consideration of the mutual covenant herein contained, the parties agree as follows: AMENDMENT In consideration of the foregoing Recitals and the covenants and promises hereinafter contained, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto agree as follows: 1. Section 1.1 Scope of Services is amended to read as follows: 1.1 Scope of Services. In compliance with all terms and conditions of this Agreement, Contracting Party shall provide those services related to design and related professional services for the Washington Street Connector to Arts and Music Line Project, Project No. 2023-09, as specified in the "Scope of Services" attached as "Exhibit A" to the original Agreement, as well as the additional services detailed in "Exhibit A" to this Amendment No. 1 to the Agreement, and incorporated herein by this reference (the "Services"). Contracting Party represents and warrants that Contracting Party is a provider of first-class work and/or services and Contracting Party is experienced in performing the Services contemplated herein and, in light of such status and experience, Contracting Party covenants that it shall follow industry standards in performing the Services required hereunder, and that all materials, if any, will be of good quality, fit for the purpose intended. For purposes of this Agreement, the phrase "industry standards" shall mean those standards of practice recognized by one or more first-class performing similar services under similar circumstances. 2. "Exhibit A" — Scope of Services is amended to include the additional services detailed in Exhibit A, attached to this Amendment No. 1, and incorporated herein by this reference. 3. Section 2.1 Contract Sum is amended to read as follows: 2.1 Contract Sum. For the services rendered pursuant to this Agreement, Contracting Party shall be compensated in accordance with the following revised "Exhibit B" (the "Schedule of Compensation") in a total amount not to exceed Two Hundred Seventy -Six Thousand One Hundred Thirty -Four Dollars ($276,134), for the life of the Agreement, encompassing the Initial and any Extended Terms (the "Contract Sum"), except as provided in Section 1.7. 4. "Exhibit B" — Schedule of Compensation is amended as listed in "Exhibit B," attached hereto and incorporated herein by this reference. In all other respects, the original Agreement shall remain in effect. IHRKE, City Attorney City of La Quinta, California Exhibit A Scope of Services In addition to the services listed in Exhibit A to the original Agreement, Contracting Party shall provide the following additional engineering and design services related to the Washington Street Connector to Arts and Music Line Project No. 2023-09. 1. Design services regarding adding a northbound right -turn pocket at the Avenue 48 intersection. 2. Providing a bike ramp connection from the Class II bike lane on Washington Street to the proposed multi -use path. 3. Incorporating bike signal phases at the Eisenhower intersection. Exhibit B Schedule of Compensation The maximum total compensation to be paid to Contracting Party under this Agreement is not to exceed Two Hundred Seventy -Six Thousand One Hundred Thirty -Four Dollars ($276,134)("Contract Sum"), comprised of compensation for the initially agreed upon services per the Agreement in an amount not to exceed $263,062, and the Additional Services and related compensation in an amount not to exceed $13,072, pursuant to Sections 1.7 and 2.3 of the Agreement. The Contract Sum shall be paid to Contracting Party in installment payments made on a monthly basis, monthly payments will be made as shown below, and in an amount identified in Contracting Party's schedule of compensation as shown below for the work tasks performed and properly invoiced by Contracting Party in conformance with Section 2.2 of the Agreement. Summary Breakdown of Original Services Cost — not to exceed $263,062 • Tasks 1.1 through 9.4 shall be paid on a lump -sum percentage complete basis not to exceed the approved amounts per line item. • Task 9.5 shall pay for reimbursable items on a material and milage basis not to exceed the approved amount per line item. • Tasks 10.1 through 10.2 shall be paid on a time basis not to exceed the approved amounts per line item. • Optional tasks 11 and 12 are not allowable payment items unless City's Contracting Officer expressly provides approval in writing.
