This TERMINATION OF MULTIPLE RECORDED DOCUMENTS ("Termination")

between the CITY OF LA QUINTA, a California municipal corporation and charter city
("City"), and SILVERROCK DEVELOPMENT COMPANY, a Delaware limited liability
company ("SDC"), and the following affiliates of SDC: RGC PA 789, LLC, a Delaware
limited liability company, SilverRock Lifestyle Residences, LLC, a Delaware limited
liability company, SilverRock Lodging, LLC, a Delaware limited liability company,
SilverRock Luxury Residences, LLC, a Delaware limited liability company, and
SilverRock Phase 1, LLC, a Delaware limited liability company (collectively, SDC and its
affiliates are referred to as the "Former Developer"). The City and Former Developer
may be referred to herein individually as a "Party" and collectively as the "Parties."
RECITALS:
A. Former Developer and RGC PA 789, LLC, an affiliate of Former
Developer (see Recital D below), are the owners of that certain real property real
property comprised of approximately 1304-/- acres, identified as APN(s): 777-060-083,
777-060-085, 777-060-075, 777-060-078, 777-490-058, 777-490-063, 777-490-064,
777-490-065, 777-490-066, 777-490-037, '777-490-057, 777-490-059, 777-490-068,
777-490-042, 777-490-076, portions of 777-490-072 and 777.490-073 and 777-490-074
and 777-490-075 and 777-490-077 and 777-490-078 and 777-490-079 and 777-490-
080, 777-490-046, 777-490-071, '777-060-082, 777-060-084, 777-510-001 through 023,
777-510-025, 777-520-001 through 018, and 777-490-053,054 and 055; and more
specifically described in Exhibit A-1 and Exhibit A-2 attached hereto and incorporated
herein by this reference (the "Phase 1 Property"), The Phase 1 Property consists of
the "Phase 1A Property" and "Phase 116 Property" as more particularly described in
Exhibit A-1 and Exhibit A-2, respectively.

B. City is the owner of that certain real property comprised of the following:
(i) approximately 193+/- acres, identified as APN(s): 777-490-047, 777-490-048, 777-
490-049, portion of 776-150-030, 777-060-074, and 777-060-079, and more specifically
described in Exhibit B-1 attached hereto and incorporated herein by this reference (the
"City -Owned Phase 2 Property"); (ii) approximately 0.6+/- acres, improved with the
Ahmanson Ranch House, and more particularly described in Exhibit B-2 attached
hereto and incorporated herein by this reference (the "City -Owned Ahmanson Ranch
Property"); and (iii) approximately 170+/- acres, improved as an Arnold Palmer Classic
Golf Course and commonly known as the SilverRock Golf Course, and more particularly
described in Exhibit B-3 attached hereto and incorporated herein by this reference (the
"City -Owned Golf Course Property"). The City -Owned Phase 2 Property, City -Owned
Golf Course Property, and City -Owned Ahmanson Ranch Property are collectively
referred to as the "City -Owned Properties."
C. The Phase 1 Property and City -Owned Properties are subject to the
following land use approvals and related agreements and documents approved thereby:
(i) La Quinta City Council Ordinance No. 626, adopted on October 7, 2025, approving
Development Agreement 2025-0001 (Reinstated and Amended Development
Agreement 2014-1001) (the "Reinstated Development Agreement"); (ii) La Quinta
City Council Resolution No. 2025-023, adopted on September 22, 2025, approving the
Economic Development Subsidy Report, Transient Occupancy Tax Revenue Sharing
Agreement, and Option to Purchase Real Property (which Includes a Repurchase
Option Agreement), all associated with the project approved and governed by the
Reinstated Development Agreement (the "Economic Development Report," "TOT
Revenue Sharing Agreement," and "Option Agreement," respectively); and (iii) La
Quinta City Council Resolution No.2025-022, adopted on September 22, 2025,
approving Environmental Assessment 2025-0002, Addendum No. 3 to the Previously
Adopted Mitigated Negative Declaration (EA 2002-453) pertaining to the project
approved and governed by the Reinstated Development Agreement (the
"Environmental Review Addendum"). The Reinstated Development Agreement,
Economic Development Report, TOT Revenue Sharing Agreement, Option Agreement,
Environmental Review Addendum, and the respective Ordinance and Resolutions
approving the same, are collectively referred to as the "2025 SilverRock Master Plan
Project Approvals." The 2025 SilverRock Master Plan Project Approvals are public
records and available for inspection during regular business hours in the Clerk's Office
at City Hall for the City of La Quinta, at the address: 78-495 Calle Tampico, La Quinta,
CA 92253, and may be accessed at the City's Internet web site: www.laquintaca.gov.
D. As more thoroughly described and summarized in the Recitals to the
Reinstated Development Agreement, prior to consideration and approval of said 2025
SilverRock Master Plan Project Approvals, Former Developer and affiliated entities, on
August 5, 2024, filed for voluntary bankruptcy protection under chapter 11 of the U.S.
Bankruptcy Code, with case number(s) identified as Case No. 24-11647, along with the
last four digits of each Debtor's federal tax identification number, as applicable:
SilverRock Development Company, LLC (5730), RGC PA 789, LLC, a Delaware limited
liability company (5996), SilverRock Lifestyle Residences, LLC, a Delaware limited
liability company (0721), SilverRock Lodging, LLC, a Delaware limited liability company

(4493), SilverRock Luxury Residences, LLC, a Delaware limited liability company (6598)
and SilverRock Phase I, LLC, a Delaware limited liability company (2247) (collectively,
referred to herein as the "Bankruptcy Lawsuit" in the "Bankruptcy Court"). Former
Developer's "affiliated entities," as identified above in the Bankruptcy Lawsuit, and
Former Developer are collectively referred to herein as the "Former Developer" (unless
otherwise specified).
E. Pursuant to Bankruptcy Court -approved Bid Procedures and related
actions and directives thereto, Former Developer as "Debtor(s)" in the Bankruptcy
Case, retained a Chief Restructuring Officer and marketing professional for the
purposes of, among other items, marketing the sale of the Phase 1 Property and
soliciting proposals for the: (i) acquisition of the Phase 1 Property, (ii) use, re -use,
and/or substitution of the partially constructed improvements on the Phase 1 Property,
(iii) potential replacement project for a world -class hotel and residential destination
resort with related amenities on the Phase 1 Property that complement the existing
Arnold Palmer Classic Golf Course surrounding the Phase 1 Property and City -Owned
Properties, and (d) possible acquisition in the future of the City -Owned Phase 2
Property for possible future development that may also complement a world -class hotel
and residential destination resort on the Phase 1 Property.
F. Pursuant to the order authorizing the sale of the Debtor(s) property, filed
and entered on October 23, 2025 [Bankruptcy Lawsuit Docket No. 759] (the "Sale
Order"), the Bankruptcy Court ordered, among other provisions: (i) Former Developer
was authorized to sell the Phase 1 Property to the successful bidder, TBE RE
Acquisition Co II LLC, a Delaware limited liability company and affiliate of Turnbridge
Equities, decided pursuant to Bankruptcy Court approved -Bid Procedures, (ii) the prior
development agreement with Former Developer was to be reinstated and amended and
memorialized by the Reinstated Development Agreement, and (iii) an escrow to
facilitate the purchase and sale of the Debtors' estate (which includes the Phase 1
Property) was authorized.
G. In furtherance of the 2025 SilverRock Master Plan Project Approvals and
Sale Order, among other orders from the Bankruptcy Court, the City and Former
Developer mutually agree to terminate multiple recorded documents, listed below,
because they no longer apply and do not relate to the new 2025 SilverRock Master Plan
Project Approvals.
TERMINATIONS:
In consideration of the foregoing Recitals, which are as substantive component
and incorporated herein and made a part hereof, the Parties hereto agree as follows:
1. The following documents recorded in the Official Records of the County of
Riverside, California, are hereby terminated with respect to the Phase 1 Property and
City -Owned Properties (collectively, the "Terminated Instruments"):
