SUBSTITUTION OF TRUSTEE AND DEED OF FULL RECONVEYANCE
WHEREAS, RGC PA 789, LLC, a Delaware limited liability company, as "Truster",
executed that certain Deed of Trust And Assignment Of Rents Securing Debtor -In -
Possession Credit Facility Loan And Security Agreement, dated January 23, 2025, and
recorded in the Official Records of Riverside County, California, on May 15, 2026, as
Instrument No. 2025-0146770 (the "Deed of Trust") in favor of Stewart Title of California,
Inc., whose address is 11870 Pierce Street, Suite 100, Riverside, CA 92505, as
"Trustee," for the benefit of the City of La Quinta, a California municipal corporation and
charter city, whose address is 78495 Calle Tampico, La Quinta, CA 92253 (the "City"),
as "Beneficiary" under the Deed of Trust. The Deed of Trust encumbered that certain
real property and all improvements and structures now or hereafter located on or part
thereof, located in the City of La Quinta, County of Riverside, State of California,
described as set forth in Exhibit A attached hereto. and incorporated herein by reference
(the "Real Property").
The City, as the Beneficiary and owner and holder of the Deed of Trust, hereby
substitutes the City as trustee in lieu of the above -named Trustee under said Deed of
Trust.
The City hereby accepts said appointment as Trustee under the Deed of Trust and,
as successor Trustee, pursuant to the request of the current owner and holder and in
accordance with the provisions of the Deed of Trust, does hereby fully reconvey to the
person or persons legally entitled thereto, but without warranty, all the estate, title, and
interest now held by the City Linder the Deed of Trust.
