The UNSP outlines land use and development standards for approximately 400 acres near the California State University San Bernardino and University of California Riverside campuses in North Palm Desert. The original plan was adopted in 2016 and envisioned a mixed -use, walkable community with a variety of housing options, commercial opportunities, and open spaces. Since the plan was adopted, substantial development activity has occurred, and approvals have been issued for more than half of the planning area. The City launched a plan update effort, with the main focus being re -imagining and planning for the remaining 170 acres of undeveloped land. In addition to updating the land use plan, objective design standards will be incorporated into the document to provide guidance on the design of new multi -family and mixed - use development. The new Specific Plan established a planning and zoning framework that encourages innovative, transit -oriented development in the downtown area while preserving the historic character of the district. It included an extensive community outreach process including meetings with a community advisory committee, five public workshops, and an interactive project website that solicited public input. During the planning process, new housing, retail, employment, and hospitality uses in the downtown area were proposed in conjunction with a new Metro light rail line and transit station opened in 2025. Several opportunity sites within walking distance of the transit station will allow significant potential for infill development and adaptive reuse of existing underutilized properties in the downtown area. Creating a strong community identity and sense of place, with design guidelines for buildings and the public realm are the key outcomes of the process. The Code is being updated not only to incorporate current best practices, industry standards, and legal mandates but also to comply with the City's General Plan and be internally consistent and user-friendly. Interwest is also assisting the City with preparing objective design standards, as well as updating its subdivision regulations, ADU ordinance, and commercial and industrial design guidelines. Interwest is updating the City's design guidelines to implement Irwindale's Staffing: design objectives for commercial and industrial development. The project, funded by SB 2, included updating the RD zoning district to make it easier to use and provide more guidance on producing Missing Middle housing types, such as bungalow courts and mansion apartments. The project also helped remove impediments to housing production and made it easier for developers to make it through the City's approval process. Interwest also prepared Objective Design Standards for developers to use for a Services Provided: ministerial review process under SB 35. City of LaQuinta, CA I Vista Santa Rosa Master Plan I Page 12 i lit Iv TAB 3 - PROJECT UNDERSTANDING AND APPROACH INYERWEST A SAFEbuitt COMPANY INTERWEST A SA/lAW COMPANY PROJECT UNDERSTANDING It is our understanding that the City of La Quinta is soliciting proposals for professional consulting services to prepare a Master Plan for Vista Santa Rosa, a community located within the City's southern Sphere of Influence (S01). The Master Plan will guide future growth and development within the community, addressing topics of land use, housing, infrastructure, environment, and community services. Moreover, the plan shall be prepared through an inclusive process and grounded in concepts of sustainable development to ensure that the existing community character is respected and retained. COMMUNITY BACKGROUND • City of La Quinta, Sphere of Influence (S01): The City's S01 encompasses two non-contiguous areas, totaling over 8,000 acres, of which the "southern S01" is the much larger and less developed. Much of this land is currently designated for residential land use in the City's General Plan, suggesting significant capacity for new residential development. • Vista Santa Rosa: The vast majority of the City's southern S01 is generally located to the east of the City, within the unincorporated Vista Santa Rosa community. This community is home to approximately 2,600 residents, including low density and rural residential development with emphasis on an equestrian lifestyle. Agricultural use is also an important component of the community, and the area is recognized as an important producer of date crops. Residents are protective of the community's rural character in the face of development pressures. PLANNING BACKGROUND La Quinta's General Plan incorporates the City's S01, including land use policies and programs addressing the area's future should any of these lands be annexed. More specifically, Policy LU 1.4 of the La Quinta General Plan requires preparation of a Master Plan priorto consideration of annexation of any part of the southern SOL This policy's supporting programs also require that the planning process involve active community participation to ensure community character is properly addressed in the resulting plan. KEY CONSIDERATIONS Based on our preliminary research and review of the General Plan, as well as direction provided by the RFP, it is our understanding that there are some key considerations in the preparation of the Vista Santa Rosa Master Plan. • Anticipate and plan for increasing development pressures on the Vista Santa Rosa community. • Provide area -wide land use planning to promote a cohesive development vision ratherthan succumbing to piecemeal development projects and urban sprawl. • Respect and retain the rural character and lifestyle, as well as the agricultural history of the Vista Santa Rosa community. • Ensure that there is no negative fiscal impact on the City of La Quinta resulting from any annexation of land within the SOL • Prepare a community -based plan for the Vista Santa Rosa community that satisfies "good planning principles and stakeholder needs" PROJECT SCOPE It is our understanding that the scope of work should be structured as a series of phases such that the City may proceed with one or more of the phases at its discretion. Provide Effective Project Management: We always strive to deliver the highest quality work product in a timely manner. We will undertake activities as needed to maintain a productive collaboration with City Staff and ensure that the project moves forward according to schedule and budget. More specifically, we will seek early concurrence on scope and schedule, provide on -going monitoring of the schedule and budget including monthly invoices, and deliver work product at key milestones for review and evaluation. Moreover, regular project coordination meetings with City Staff and as appropriate other key stakeholders will be critical to keeping the work program on -track. This approach will allow us to recognize and address any complications before they result in inefficiencies and delays. Partner with the Community: Successful planning depends on ongoing, trustworthy, and empowering engagement with key stakeholders and the broader public. To maximize participation, we will work with City Staff to prepare an Outreach Plan, including identification of key stakeholders and stakeholder groups. Therefore, we will commence with a review of relevant plans and policies, document existing conditions, focusing on the mapping and assessment of relevant attributes of the built environment (e.g., land use, mobility, and infrastructure), and provide a market study and assessment of the resources that serve the Vista Santa Rosa planning area. Relying on our background analysis and responding to stakeholder insights, we will then evaluate opportunities and constraints upon growth and development of the Vista Santa Rosa planning area. This effort will include identification of development opportunity areas and related physical improvements to the built environment. Build a Consensus Vision: The best outcomes are contingent upon a shared vision for development. We will build upon a realistic assessment of opportunities and constraints and stakeholder input to generate a vision statement and guiding principles for the Vista Santa Rosa planning area, as well as describe and illustrate a compelling and feasible scenario for its physical development. This vision will provide strong intent and guidance for more specific recommendations. Kittelson will identify existing and future/planned gaps and constraints in the circulation network especially as it relates to non -auto modes like bicycle and neighborhood/ low speed vehicles. Given the unique location we will also take into account the network and socio-economic projections and travel needs to/from nearby communities of Therman, Coachella and La Quinta. Kittelson will also provide research on best practices and projects implemented in the Coachella Valley area for which elements may be replicated to improve accessibility, connectivity and deliver a travel network aligned with the project's vision. This review will be summarized to identify opportunities and challenges to inform the preparation of the master plan. Criteria will utilize a combination of graphics and imagery, tables and charts, and text to deliver a concise, visual format that is user-friendly, presenting clear expectations for the character and quality of proposed projects while also expediting their review. Consultant Deliverables: • Private Realm Criteria, presented in a graphically rich format suitable for review and comment Task 2.6.3 - Opportunity Site Concepts: We will identify and describe development concepts and strategies for up to three (3) opportunity sites where significant strategic development could occur in the near- and/ or medium -term. Opportunity Site Concepts will be presented through a combination of visual imagery (e.g., conceptual level plans, models, renderings, photo examples, etc.) and supporting descriptive text. Opportunity site concepts may also serve as test fits for the proposed development criteria. Kosmont will estimate project scenario revenue upon full build -out and stabilization, including property tax (secured and unsecured), sales and use tax, and/or other revenues, as deemed relevant and applicable. We will estimate primary fiscal expenditures that may result upon full build -out and stabilization, including personnel, operations, and/or other costs related to public safety, public works, community services, administration, and/or other municipal programs, as deemed relevant and applicable by Kosmont. We will also evaluate fiscal revenues net of fiscal expenditures, known as the net fiscal impact. Findings will be based in present day dollars. We will identify potential funding sources and propose economic development strategies to ensure public infrastructure and facilities are funded and delivered in alignment with identified needs and demands. Kosmont will recommend strategies that are SMART (Specific, Measurable, Attainable, Relevant, and Time -Bound), which the City can utilize to achieve the desired vision. We will also recommend economic development policies, programs, and tools to further incentivize and catalyze development. Consultant Deliverables: • Economic Development Strategy, presented in a format suitable for review and comment. Task 2.7.2 - Action Plan: We will prepare an Action Plan that clearly and concisely sets forth action steps to implement the framework policies, strategies, and proposals. The Action Plan will address timing (short-, mid - and long-term), potential funding sources, as well as roles, responsibilities, and partners associated with each action step. The Action Plan will be presented in a tabular or other format suitable to track progress toward implementation of the Master Plan. It is anticipated that City Staff will assist in clarifying roles and responsibilities and determining potential partners fortheAction Plan. Consultant Deliverables: • Action Plan, presented in tabular or other format suitable for review and comment Task 2.7.3 - Plan Administration: We will prepare a section that outlines processes and procedures for administration of the Master Plan, including development review procedures to ensure compliance with its concepts and criteria, and to promote clear and predictable outcomes. Task 2.8.1 Administrative Review Draft Master Plan: We will prepare an Administrative Review Draft Master Plan that compiles applicable work product into a cohesive document suitable for review by City Staff and other appropriate parties. We will work with City Staff to ensure both a workable structure and a graphic, visually appealing format that clearly describes and illustrates the planning process and its outcomes. It is anticipated that City Staff will handle distribution of administrative draft documentation. Consultant Deliverables: • Public Review Draft Master Plan, presented in approved format; provided as a digital (.pdf) copy Task 2.9 Public Hearings The Interwest Team will participate in two (2) public hearings before the Planning Commission and/orthe City Council to consider and adoptthe Vista Santa Rosa Master Plan. We will provide collateral materials as appropriate, and we will be available to present the plan and respond to questions and comments during the hearings. It is anticipated that City Staff will organize the hearings (e.g., location, noticing, equipment, etc.) and provide agendas and meeting minutes. Please note that at this stage we anticipate the requested changes to the Final Master Plan will be minimal; extensive changes will require that we revisit scope, schedule, and fee. More specifically, we will 1) participate in virtual "Kick -Off Meeting" with City Staff for Phase 3 of the project; 2) attend periodic coordination meetings (not to exceed 3 virtual meetings) with City Staff to assess progress and direct forthcoming work; and 3) provide on -going monitoring of the schedule and budget, including submittal of monthly invoices for Phase 3 of the project. Consultant Deliverables: • Kick -Off Meeting Participation • Project Coordination Meetings, not to exceed 3 virtual meetings • Meeting Agendas • Monthly Invoices Task 3.2 Biological Resources Analysis: Meridian will collect and review available existing information regarding biological resources in the Vista Santa Rosa planning area, including the Coachella Valley Multi -Species Habitat Conservation Plan and related documentation available from the Coachella Valley Association of Governments (CVG), the City of La Quinta 2035 General Plan and General Plan EIR, and the Riverside County General Plan, including the Eastern Coachella Valley Area Plan and related CEQA documentation. In addition to reviewing available information, Meridian will complete a search of the California Department of Fish and Wildlife California Natural Diversity Database (CNDDB)to identify sensitive biological resources, including sensitive habitats and vegetation communities in the planning area. Based on this review, biological resources present within the planning area will be described and characterized, including sensitive resources. Policies in existing plans addressing biological resources will also be identified and described. Task 3.3 Cultural Resources Analysis: Meridian will collect and review available existing information regarding cultural resources in the Vista Santa Rosa planning area, including information from the City of La Quinta General Plan and County of Riverside General Plan/Eastern Coachella Valley Area Plan and related CEQA documentation. A records search will also be conducted at the California Historical Resources Information System (CHRIS) South Coastal Information Center at San Diego State University. Based on this review, cultural resources present within the planning area will be described and characterized. Policies in existing plans addressing cultural resources will also be identified and described, Task 3.4 Air Quality & Greenhouse Gas Analysis: Meridian will prepare Air Quality and Greenhouse Gas (GHG) analysis in accordance with all relevant requirements of the South CoastAir Quality Management District (SCAQMD) and the adopted air quality plan. A quantified estimate of air quality and GHG emissions that would result from the land uses changes and implementation of the proposed Master Plan will be prepared using the (California Emission Estimator Model (CalEEMod). These emissions will be compared against SCAQMD thresholds to determine the significance of these thresholds and need for mitigation. This analysis will assess the local and regional air emission impacts of changes in Vehicle Miles Traveled (VMT) that would result from the Master Plan based on the VMT Study. Existing GHG reduction plans prepared by the City of La Quinta, Coachella Valley of Governments and County of Riverside Countywill reviewed and summarized. Task 3.5 Traffic & Vehicle Miles Traveled (VMT) Analysis: Kittelson will prepare the Transportation Impact Analysis (TIA) to support the CEQA documentation and to confirm thatthe roadway networkwill provideadequate levels of service. A roadway capacity and level of service analysis will be conducted at up to five (5) roadway segments and up to five (5) intersections to identify opportunities to modify the circulation network while providing adequate mobility for all users. This analysis will also identify potential constraints in the circulation systems ability to accommodate travel needs from the Master Plan future land development. Potential improvements may include multimodal offroad paths, NEV routes, provision of improved pedestrian facilities through corner/sidewalk bulbs, and enhancements to medians. The roadway capacity analysis will be summarized in a technical memorandum. The RIVCOM travel demand model will be modified to include the proposed Project land uses, and adjacent networks will be refined in the model network as needed. Kittelson will provide vehicle miles traveled (VMT) results under appropriate metrics and the Project's transportation analysis zones for the Project scenario. If the Project would generate an impact to VMT, then Kittelson will develop appropriate mitigation measures including transportation demand management (TDM) and related trip reduction measures. To support expedited processing of future developments in the area, the analysis will identify opportunities for future CEQA documents to tier -off the transportation analysis for this project. After addressing one round of non -conflicting project team comments, a final transportation impact analysis report will be submitted. Kittelson will also provide roadway segment and VMTfor other EIR technical studies. Task 3.6 Noise Impact Analysis: Meridian will prepare a noise analysis addressing localized noise increases that may occur in areas where a change in the type and intensity of land uses are being considered. Noise modeling will be completed for major roadways based on traffic volumes and information on fleet mix, speed limits and other information provided from the Transportation Study. Based on this modeling, the potential for exposure to noise levels exceeding applicable noise standards will be identified and appropriate mitigation will be identified. Task 3.7 Water Supply Assessment: Meridian will prepare a Water Supply Assessment (WSA) for the Coachella Valley Water District (CVWD) using the CVWD WSAtemplate documentand guidance for estimating water demand. Meridian will post the NOP with the Riverside County Clerk and submit the NOP to the State Clearinghouse for distribution to state agencies for review and comment. Meridian will also moderate a scoping meeting to provide an opportunity for comment on the potential environmental effects of the proposed Master Plan from agencies and the public. Meridian will prepare a presentation and supporting information materials for the scoping meeting. Comments received in response to the NOP and at the scoping meeting will be considered in finalizing the scope of study in the EIR and included in an appendix to the EIR. Consultant Deliverables: • Notice of Preparation (NOP) • Public Scoping Meeting, attendance and moderation • Public Scoping Meeting Collateral Materials, as appropriate Task 4.3 Initial Study: Meridian Consultants will prepare an Initial Study for the Project using the current standard CEQA Initial Study checklist form used by the City of La Quinta to conduct preliminary environmental review. Analysis will be provided for each of the environmental topics in the Initial Study checklist form to explain and justify each "No Impact," "Less Than Significant Impact;' "Potential Significant Impact unless Mitigation Incorporated;' and "Potential Significant Impact" answerchecked in response to each question to determine the proposed scope of study for the EIR. Consultant Deliverables: • Initial Study, provided in Microsoft Word and .pdf format Task 4.4 Administrative Draft PEIR: Meridian will prepare a project description for the EIR including the following information, consistent with CEQA Guidelines Section 15124: • A description of the relevant interrelated documents and projects (i.e., various General Plan elements; development code and zoning updates; etc.). • A statement of project objectives. • Adescription of the technical, economic, and environmental characteristics of project. • Graphics showing the proposed development framework such as land use, transportation, etc. • Astatement briefly describing the intended uses of the EIR. Setting, impact evaluation, and mitigation discussions will be prepared for each environmental topicevaluated in the EIR. Wewill include a summaryof existing conditions, pertinent regulations, and a description of the regional setting, placing special emphasis on rare or unique environmental resources in the planning area based on the information in the proposed Master Plan. The EIR will provide a program level analysis of the proposed Master Plan, focusing on the potential physical effects on the environment from implementation of the proposed land use plan. Any policies, standards and implementation measures presented within the Master Plan will be identified as appropriate for the mitigation of any potential significant impacts. Additional mitigation measures will only be identified if necessary. New mitigation measures will be developed for use as conditions of approval for future projects to facilitate the streamlined clearance of future projects. As required by CEQA and the CEQA Guidelines, the EIR will also include comparative analysis of a range of reasonable alternatives to the proposed Master Plan, analysis of potential growth inducing impacts and other topics. As part of this effort, Kittelson completed an existing conditions assessment of transportation in the City, utilizing infographics as part of the documentation to easily convey data. Kittelson then prepared the circulation and mobility section of the General Plan Update, including the identification of existing and future needs for vehicular traffic, implementing travel paths for golf carts and neighborhood electric vehicles, and improving bicycle and pedestrian networks. The mobility element focused on expanding the bicycle and NEV network, planned to integrate regional multi -use path connections, and provided complete street policies for residents, workers, and visitors. Kittelson conducted a community workshop to inform the public and seek input for the mobility element update. In addition, adoption of Senate Bill (SB) 743, which eliminated level of service (LOS) as an impact analysis for environmental review documents as of July 2020, triggered the need for new transportation metrics to be introduced in the updated Circulation Element. The travel demand associated with the land use and circulation plan was calculated for up to three alternatives using the most recent traffic model for Riverside County (RIVCOM). To supplement the General Plan Update, an environmental document (EIR) was prepared. Kittelson prepared the transportation analysis in the EIR document, including identifying potential VMT impacts resulting from the proposed change in land uses and circulation, consistent with SB 743. City of Fontana Downtown Core Project Client Reference: Alejandro Rico, Associate Planner, City of Fontana, 8353 Sierra Avenue, Fontana, California 92335, 909-350-6558, ARico@fontanaca.gov Kittelson developed a circulation plan with substantial modifications to the downtown area and prepared a transportation analysis for the proposed Downtown Core Project. The downtown area includes the Fontana Metrolink Station and City Hall. The project consists of transit -oriented development and changes to parking and an enhanced bike and pedestrian network to invigorate redevelopment and encourage a mixed -use environment. Several concepts were considered including roundabouts at key intersections, angled and parallel parking configurations, and several bike and transit facility configurations. A key element of the plan is ensuring that bus operations to and from the transit center are not affected by local circulation network changes, and that the surrounding roadways can accommodate the anticipated increase in pedestrians and bicyclists. As such, Kittelson prepared conceptual design plans that clearly illustrated potential solutions and confirmed that they could fit within the current rights -of -way. In addition, Kittelson conducted extensive data collection, including daily and peak hour multimodal counts to confirm current activity levels, utilized the regional travel demand model to estimate future growth in activity, and conducted roadway and intersection operations analyses to identify secondary effects to the roadway network. Key topics included improving bicycle and pedestrian access and connectivity in the city's downtown area and connecting to future stations along the planned Gold Line light rail extension. Kittelson's tasks included assessing existing multimodal transportation conditions and opportunities for private vehicles, bicyclists, pedestrians, transit users, and other modes, and developing mobility element goals, policies, and implementation actions. As part of this effort, Kittelson hosted a series of workshops and charettes to inform the public and stakeholders on key transportation issues and solicited feedback on opportunities to improve the multimodal circulation network. A series of conceptual cross -sections and road diets were incorporated into the downtown area to promote accessibility and better integration of land uses to meet the mobility needs of all users. To support the general plan update process, Kittelson prepared a transportation analysis report that included both CEQA analysis (based on VMT and other CEQA criteria) and a non-CEQA analysis of intersections and roadway segments in the city. Simultaneously with this effort, Kittelson assisted the City with preparing its SB 743-consistent transportation impact study guidelines. The guidelines included requirements for both CEQA transportation impact analysis and non-CEQA transportation assessments. As part of this effort, Kittelson reviewed recommendations for the city developed by the San Gabriel Valley Council of Governments (SGVCOG) and provided a final set of recommendations for VMT metrics, significance thresholds, and screening criteria. Kittelson also developed recommendations for traffic operations and other non-CEQA analysis and developed the final guidelines. As a part of this effort, Kittelson worked with the City to develop its first Bicycle Master Plan (BMP), including infrastructure and programmatic recommendations, which will guide the expansion of bicycle infrastructure that meets the needs of the community and promotes a safer environment for people to bike. Kosmont's work involved two parts — developing a Background Analysis and an Economic Development Strategy including illustrative proformas for blended use project scenarios. The Background Analysis, included an Existing Conditions and Opportunities section highlighting key demographic and economic conditions in the Downtown San Dimas Study Area ("Study Area"), along with examining visiting trends using mobile data analytics powered by Placer.ai and observing vacant and underutilized parcels that could serve as major development opportunity sites to revitalize the Study Area. As part of the Background Study, Kosmont also prepared a Market Demand Analysis which evaluated the current market conditions and long-range potential for various land uses in the Study Area, including residential (of different densities and levels of affordability) and commercial / blended -use. Additionally, Kosmont provided financial feasibility pro -forma analyses for potential multifamily / blended -use projects on two key properties. Kosmont's Economic Development Strategy for the Study Area involved developing actionable measures to mitigate challenges and threats to economic development and achieve goals set by the City. Kosmont also identified relevant infrastructure and economic development tools and land use strategies, such as Enhanced Infrastructure Financing Districts ("EIFDs"), Sales Tax Assessment Revenue (STAR*)°, Development Opportunity Reserve (D.O.R.)°, state and federal grants, taxable or tax-exempt debt financing, among other tools focused on incentivizing residential blended use development. Kosmont was retained as a sub -consultant for the preparation of a Highest and Best Use Study for MBMI's 3,000 acres of land adjacent to the 1-10 freeway near Cabazon, California. Kosmont analyzed local and regional demographic and real estate market conditions; Industrial, retail and tourism/hospitality demand, along with recreation uses and operations. The analysis was used to suggest a master development program buildout over the 15-20 years. Kosmont was subsequently retained to assist in evaluating the regional industrial market and help evaluate long-term lease proposals from various industrial business interests seeking to ground lease parcels ranging from 60 to 500 acres on MBMI's surplus land. Monitoring was conducted to ensure compliance with the conditions of approval on the special event permit issued by the city for these events. A network of noise monitors was installed around the 600-acre festival site that reported live noise readings to a web -based application 24 hours a day to allow for real time compliance. The Project consists of the development of a Specific Plan for a portion of Section 24, an approximately 577-acre area of the Agua Caliente Indian Reservation ("Reservation") located within unincorporated Riverside County, which is surrounded on all four of its sides by the City of Rancho Mirage. The Project would provide entitlement approv- als for up to 3,138,600 square feet of commercial retail, office, restaurant, hotel, and entertainment uses, and up to 2,406 residential units on approximately 577 acres of land on the Agua Caliente Indian Reservation. The Agua Caliente Tribal Environmental Policy Act (TEPA) (Tribal Ordinance No. 28) was adopted to ensure the protec- tion of natural resources and the environment within the Agua Caliente Indian Reservation by establishing standards for the review and consideration of environmental impacts associated with development of the Reservation. When it is determined through preliminary review that a proposed project may result in significant impacts to the quality of the natural environment, preparation of an EIS in accordance with the process defined in TEPA is required. The Agua Caliente Band of Cahuilla Indians, acting as the Lead Agency for the planning and environmental review of this Project, decided to prepare the EIS in compliance with both TEPA and the California Environmental Quality Act (CEQA), including the CEQA Guidelines (California Code of Regulations Title 14 Section 15000 et seq.), in order to minimize the duplication of environmental studies and documentation by other public agencies involved with the review and approval of actions related to the Project that are required to comply with CEQA. In preparing the EIS for this Project, Meridian Consultants examined the impacts of this proposed development, and determined that many of the potentially significant impacts could be reduced to less than significant levels with mitiga- tion. Travertine Point is a new town planned on the northwest shore of the Salton Sea. The majority of the proposed Specific Plan area is located in Riverside County with a portion located in Imperial County; portions of the project site also include Torres Martinez Desert Cahuilla Indian tribal lands. The EIR addresses a Specific Plan permitting the development of over 16,655 new homes and 5,000,000 square feet of commercial and light industrial development that would occur in building a new city over a 50 year period. This full scope EIR includes extensive analysis of loss of agricultural resources, traffic impacts, greenhouse gas and other air quality impacts, cultural resource, and water supply. Key staff from Meridian Consultants completed the CEQA documentation including working with the California Attorney General's office to resolve greenhouse gas, coordinating with the U.S. department of Defense to address military flyover issues, and participating with the California Department of Parks to mitigate concerns related to Anza Borrego Desert State park. The equestrian way facility, for public and private use, would be located in the northeastern portion of the site; and a small rural market in the southeastern portion of the site. Tim was Kittelson's internal project principal and QA/QC lead for the development of a Systemic Safety Analysis Report (SSAR) for the City of Hemet, which included the identification of safety projects for improvement throughout the City. Key elements of this plan were the assessment of risk factors along signalized intersections, non -signalized intersections, and roadway segments. Phase 1 would include the development of the City of LaQuinta, CA I Vista Santa Rosa Master Plan I Page 76 MODIFICATIONS TO RFP AND PROFESSIONAL SERVICES AGREEMENT The Interwest Contracts and Legal Team has conducted a thorough review of the terms and conditions outlined in the City's RFP. Should Interwest be selected for contract award, we respectfully request the opportunity to engage in good faith negotiations regarding certain provisions of the proposed agreement. We have noted specific changes to be discussed below. 1.4 Licenses, Permits, Fees and Assessments. Except as otherwise specified herein, Contracting Party shall obtain at its sole cost and expense such licenses, permits, and approvals as may be required by law for the performance of the Services required by this Agreement, including a City of La Quinta business license. Contracting Party and its employees, agents, and subcontractors shall, at their sole cost and expense, keep in effect at all times during the term of this Agreement any licenses, permits, and approvals that are legally required for the performance of the Services required by this Agreement. Contracting Party shall have the sole obligation to pay for any fees, assessments, and taxes, plus applicable penalties and interest, which may be imposed by law and arise from or are necessary for the performance of the Services required by this Agreement, and shall indemnify, defend (with counsel selected by City from Contracting Party's insurance carrier's panel counsel), and hold City, its elected officials, officers, employees, and agents, free and harmless against any such fees, assessments, taxes, penalties, or interest levied, assessed, or imposed against City hereunder. Contracting Party shall be responsible for all subcontractors' compliance with this Section. 4.3 Prohibition Against Subcontracting or Assignment. The experience, knowledge, capability, and reputation of Contracting Party, its principals, and its employees were a substantial inducement for City to enter into this Agreement. Except as set forth in this Agreement, Contracting Party shall not contract or subcontract with any other entity to perform in whole or in part the Services required hereunder without the express written approval of City. In addition, neither this Agreement nor any interest herein may be transferred, assigned, conveyed, hypothecated, or encumbered, voluntarily or by operation of law, without the prior written approval of City. basis. Any attempted or purported assignment or contracting or subcontracting by Contracting Party without City's express written approval shall be null, void, and of no effect. No approved transfer shall release Contracting Party of any liability hereunder without the express consent of City. 4.4 Independent Contractor. Neither City nor any of its employees shall have any control over the manner, mode, or means by which Contracting Party, its agents, or its employees, perform the Services required herein, except as otherwise set forth herein. City shall have no voice in the selection, discharge, supervision, or control of Contracting Party's employees, servants, representatives, or agents, or in fixing their number or hours of service. Contracting Party shall perform all Services required herein as an independent contractor of City and shall remain at all times as to City a wholly independent contractor with only such obligations as are consistent with that role. Contracting Party shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of City. City shall not in any way or for any purpose become or be deemed to be a partner of Contracting Party in its business or otherwise or a joint venture or a member of any joint enterprise with Contracting Party. Contracting Party shall have no power to incur any debt, obligation, or liability on behalf of City. Contracting Party shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of City. Except for the Contract Sum paid to Contracting Party as provided in this Agreement, City shall not pay salaries, wages, or other compensation to Contracting Party for performing the Services hereunder for City. City shall not be liable for compensation or indemnification to Contracting Party for injury or sickness arising out of performing the Services hereunder. Notwithstanding any other City, state, or federal policy, rule, regulation, law, or ordinance to the contrary, Contracting Party and any of its employees, agents, and subcontractors providing services under this Agreement shall not qualify for or become entitled to any compensation, benefit, or any incident of employment by City, including but not limited to eligibility to enroll in the California Public Employees Retirement System ("PERS") as an employee of City and entitlement to any contribution to be paid by City for employer contributions and/ or employee contributions for PERS benefits. Contracting Party agrees to pay all required taxes on amounts paid to Contracting Party under this Agreement, and to indemnify and hold City harmless from any and all taxes, assessments, penalties, and interest asserted against City by reason of the independent contractor relationship created by this Agreement. Contracting Party shall fully comply with the workers' compensation laws regarding Contracting Party and Contracting Party's employees. Contracting Party further agrees to indemnify and hold City harmless from any failure of Contracting Party to comply with applicable workers' compensation laws. City shall have the right to offset against the amount of any payment due to Contracting Party under this Agreement any amount due to City from Contracting Party as a result of Contracting Party's failure to promptly pay to City any reimbursement or indemnification arising under this Section. Notwithstanding the preceding. Contracting Party shall have no liability under this section to the extent that the acts or omissions leading to the determination that a Contracting Party employee was eligible for enrollment in PERS were taken at the direction of Cit4. 6.1 Indemnification. To the fullest extent permitted by law, Contracting Party shall indemnify, protect, defend (with counsel selected by City from Contracting Party's insurance carrier's panel counsel), and hold harmless City and any and all of its officers, employees, agents, and volunteers as set forth in "Exhibit F" ("Indemnification") which is incorporated herein by this reference and expressly made a part hereof. 7.5 Licensing of Intellectual Property. This Agreement creates a non-exclusive and perpetual license for City to copy, use, modify, reuse, or sublicense any and all copyrights, designs, rights of reproduction, and other intellectual property embodied in the Documents and Materials. Contracting Partyshall require all subcontractors, if any, to agree in writing that City is granted a non-exclusive and perpetual license for the Documents and Materials the subcontractor prepares under this Agreement. Contracting Party represents and warrants that Contracting Party has the legal right to license any and all of the Documents and Materials. Contracting Party makes no such representation and warranty in regard to the Documents and Materials which were prepared by design City of LaQuinta, CA I Vista Santa Rosa Master Plan I Page 77 professionals other than Contracting Party or provided to Contracting Party by City. City shall not be limited in any way in its use of the Documents and Materials at any time, provided that any such use not within the purposes intended by this Agreement shall be at City's sole risk. For the avoidance of doubt, nothing in this Agreement shall be understood to grant City rights to pre-existing intellectual property of Contracting Party. including Contracting Party software and licensed software, or to any improvements thereto. 1. Prevailing Wage Compliance... In addition to the other indemnities provided under this Agreement, Contracting Party shall defend (with counsel selected by City from Contracting Party's insurance carrier's panel counsel), indemnify, and hold City, its elected officials, officers, employees, and agents free and harmless from any claim or liability arising out of any failure or alleged failure to comply with the Prevailing Wage Laws. E.3 General Conditions Pertaining to Provisions of Insurance Coverage by Contracting Party. 8. Except with respect to Workers' Compensation Coverage it is acknowledged bythe parties of this agreement that all insurance coverage required to be provided by Contracting Party or any subcontractor, is intended to apply first and on a primary, non-contributing basis in relation to any other insurance or self-insurance available to City. F.1 Indemnity for the Benefit of City. a. Indemnification for Professional Liability. When the law establishes a professional standard of care for Contracting Party's Services, to the fullest extent permitted by law, Contracting Party shall indemnify, protect, defend (with counsel selected by City from Contracting Party's insurance carrier's panel counsel), and hold harmless City and any and all of its officials, employees, and agents ("Indemnified Parties") from and against any and all third -party claims, losses, liabilities of every kind, nature, and description, damages, injury (including, without limitation, injury to or death of an employee of Contracting Party or of any subcontractor), costs and expenses of any kind, whether actual, alleged or threatened, including, without limitation, direct damages, court costs, attorneys' fees, litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and costs of investigation, to the extent same are caused im vwholle ar iii part by any negligent orwrongful act, error or omission of Contracting Party, its officers, agents, employees or subcontractors (or any entity or individual that Contracting Party shall bear the legal liability thereof) in the performance of professional services under this agreement. With respect to the design of public improvements, the Contracting Party shall not be liable for any injuries or property damage resulting from the reuse of the design at a location other than that specified in ExhibitA without the written consent of the Contracting Party. b. Indemnification for Other Than Professional Liability. Other than in the performance of professional services and to the full extent permitted by law, Contracting Party shall indemnify, defend (with counsel selected by City from Contracting Party's insurance carrier's panel counsel), and hold harmless the Indemnified Parties from and against any third -party liability (including liability for claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, losses, expenses or costs of any kind, whether actual, alleged orthreatened, including, without limitation, direct damages, court costs, attorneys' fees, litigation expenses, and fees of expert consultants or expert witnesses) incurred in connection therewith and costs of investigation, whereto the extent the same arise out of, a e a ce sequemice of, emm way attributable to, in whole or in part, the intentionally wrongful or negligent performance of this Agreement by Contracting Party or by any individual or entity for which Contracting Party is legally liable, including but not limited to officers, agents, employees, or subcontractors of Contracting Pa rty. 2. When the law establishes a professional standard of care for Contracting Party's Services, to the fullest extent permitted by law, Contracting Party shall indemnify and hold harmless City and any and all of its officials, employees, and agents ("Indemnified Parties") from and against any and all third party losses, liabilities of every kind, nature, and description, damages, injury (including, without limitation, injury to or death of an employee of Contracting Party or of any subcontractor), costs and expenses, including, without limitation,' it damages, court costs, reimbursement of attorneys' fees, litigation expenses, and fees of expert consultants or expert witnesses incurred in connection therewith and costs of investigation, to the extent same are caused by any negligent or wrongful act, error or omission of Contracting Party, its officers, agents, employees or subcontractors (orany entity or individual that Contracting Party shall bearthe legal liability thereof) in the performance of professional services under this agreement. Add 4. Notwithstanding any provision of law to the contrary, Contracting Party shall have the right to control the defense and settlement of any action for which indemnification is sought. provided that it shall not enter into any settlement that requires an admission of wrongdoing by any Indemnified Parties without that Indemnified Parties' approval. Contracting Party's obligations under this Agreement are contingent upon timely receipt of notice of the claim for which indemnification is sought, such that defense of the claim is not prejudiced. and the reasonable assistance of the Indemnified Parties in connection with the defense of the claim.
