RECITALS WHEREAS, on or about May 4, 2022, the City and Contracting Party entered into an Agreement to provide Master Planning for Fritz Burns Park Improvement Project No. 2021-02, for a total not to exceed amount of $79,375. The Initial Term of the Agreement expired on June 30, 2023 ("Initial Term"); and WHEREAS, on or about June 27, 2023, the City and Contracting Party executed Amendment No. 1 to the Agreement and mutually agreed to amend Section 3.4, Term, to extend the term of the agreement for one additional two-year term from July 1, 2023, through June 30, 2025 ("Extended Term"); and WHEREAS, on or about September 20, 2023, the City and Contracting Party executed Amendment No. 2 and mutually agreed to amend Section 1.1, Scope of Services, of the Agreement to provide additional services to include preliminary engineering and construction support services and Section 2.1, Contract Sum, of the Agreement and increase the total compensation by an additional amount of $361,235, for a grand total not to exceed amount of $440,610; and WHEREAS, on or about March 28, 2024, the City and Contracting Party executed Amendment No. 3 and mutually agreed to amend Section 1.1, Scope of Services, of the Agreement to provide additional services to include additional engineering design to prepare a water quality management plan, expanded parking lot design, and provide electrical circuit mapping services and Section 2.1, Contract Sum, of the Agreement to increase the total compensation by an additional amount of $20,730, for a grand total not to exceed amount of $461,340; and WHEREAS, on or about May 12, 2025, the City and Contracting Party executed Amendment No. 4 and mutually agreed to amend Section 3.4, Term, to extend the term of the agreement for an additional one-year term from July 1, 2025, through June 30, 2026 ("Extended Terms"); and WHEREAS, on or about May 20, 2025, City and contracting Party executed Amendment No. 5 and mutually agreed to amend Section 1.1, Scope of Services, of the Agreement to include pre -construction nesting bird survey and re -engineering of the lap pool stairs as identified in Exhibit A of Amendment No. 5; and WHEREAS, City and contracting Party mutually agree to amend Section 1.1, Scope of Services, of the Agreement to provide additional construction support services as identified in Exhibit A of this Amendment, and Section 2.1, Contract Sum, of the Agreement to increase the total compensation by an additional amount of $40,000, for a grand total not to exceed amount of $501,340, as identified in Exhibit B of this Amendment. NOW THEREFORE, in consideration of the mutual covenant herein contained, the parties agree as follows: AMENDMENT In consideration of the foregoing Recitals and the covenants and promises hereinafter contained, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto agree as follows: 1. Section 1.1 is amended to read as follows: Section 1.1 — Scope of Services. In compliance with all terms and conditions of this Agreement, Contracting Party shall provide those services related to the Master Planning for Fritz Burns Park Improvements Project No. 2021-02 as well as pre -construction nesting bird survey and re -engineering of the lap pool stairs, as detailed in "Exhibit A" Scope of Services of Amendment No. 5, and additional construction services, as detailed in "Exhibit A" attached hereto and incorporated herein by this reference (the "Services"). Contracting Party represents and warrants that Contracting Party is a provider of first- class work and/or services and Contracting Party is experienced in performing the Services contemplated herein and, in light of such status and experience, Contracting Party covenants that it shall follow industry standards in performing the Services required hereunder, and that all materials, if any, will be of good quality, fit for the purpose intended. For purposes of this Agreement, the phrase "industry standards" shall mean those standards of practice recognized by one or more first-class firms performing similar services under similar circumstances. 2. "Exhibit A" — Scope of Services is amended to include the additional services detailed in Exhibit A, attached to this Amendment No. 6, and incorporated herein by this reference. 3. Section 2.1 is amended to read as follows: Section 2.1 — Contract Sum. For the Services rendered pursuant to this Agreement, Contracting Party shall be compensated in accordance with "Exhibit B" (the Schedule of Compensation") in a total amount not to exceed Five Hundred One Thousand Three Hundred and Forty Dollars ($501,340) (the "Contract Sum"), except as provided in Section 1.7. The method of compensation set forth in the Schedule of Compensation may include a lump sum payment upon completion, payment in accordance with the percentage of completion of the Services, payment for time and materials based upon Contracting Party's rate schedule, but not exceeding the Contract Sum, or such other reasonable methods as may be specified in the Schedule of Compensation. The Contract Sum shall include the attendance of Contracting Party at all project meetings reasonably deemed necessary by City; Contracting Party shall not be entitled to any additional compensation for attending said meetings. Compensation may include reimbursement for actual and necessary expenditures for reproduction costs, transportation expenses, telephone expenses, and similar costs and expenses when and if specified in the Schedule of Compensation. Regardless of the method of compensation set forth in the Schedule of Compensation, Contracting Party's overall compensation shall not exceed the Contract Sum, except as provided in Section 1.7 of this Agreement. 4. "Exhibit B" — Schedule of Compensation is amended as listed in "Exhibit B," attached hereto and incorporated herein by this reference. In all other respects, the original Agreement shall remain in effect. The Contract Sum shall be paid to Contracting Party in installment payments made on a monthly basis and in an amount identified in Contracting Party's schedule of compensation attached hereto for the work tasks performed and properly invoiced by Contracting Party in conformance with Section 2.2 of the Agreement. The Capital Improvement Program (CIP) currently includes funding for this Project in the amount of $8,350,000. Funds are available in the Project budget (401-0000-60185-2021- 02D) for the proposed amendment in the amount of $40,000 for additional construction support services, for a total contract amount of $501,340. BACKGROUND/ANALYSIS The total Project area is 7.5 acres, located on the southeast corner of Avenue 52 and Avenida Bermudas. The Fritz Burns property was donated to the City to serve as a 159 noncommercial public space. The property currently has a regional Park and is adjacent to the City's Corporate Yard and Fire Station No. 32. The Park contains a swimming pool, children's play area, picnic tables and benches, restrooms, four (4) tennis courts, sixteen (16) pickleball courts, a skate park, a dog park, parking lot and off-street parking. In May 2022, Council approved an Agreement for Contract services with IN -SITE to provide master planning services for the Fritz Burns Park Improvements Project No. 2021-02. In September 2023, Council approved Amendment No. 2 for IN -SITE to provide additional services to include preliminary engineering and construction support services and increased the total compensation by an additional amount of $361,235, for a grand total not to exceed amount of $440,610. In March 2024, Amendment No. 3 was approved for IN -SITE to provide additional services to include additional engineering design to prepare a water quality management plan, expanded parking lot design, and provide electrical circuit mapping services and increased the total compensation by an additional amount of $20,730, for a grand total not to exceed amount of $461,340. In May 2025, Amendment No. 4 extended IN-SITE's term through June 30, 2026, and Amendment No. 5 was approved for IN -SITE to provide pre -construction nesting bird survey and re -engineering of the lap pool stairs with no additional costs. The Project was awarded for construction in August 2025, and IN -SITE provides construction support, the proposed Amendment No. 6 includes an increase of $40,000, for a grand total not to exceed amount of $501,340, and additional construction support for the following tasks: • Weekly meetings and site observation visits • Sewer plan revisions • Water line and meter revisions and coordination • Additional spot elevations per contractor staking needs • Tree tagging at plant nurseries • Tree observations prior to delivery • Other additional requested meetings and coordination • Final project walks ALTERNATIVES Council may elect to amend or not approve Amendment No. 6.
