PARTIES AND DATE. This Agreement is made and entered into as of the 1st day of January, 2026, ("Effective Date") by and between the City of La Quinta ("City"), a California Municipal Corporation and Charter City organized under the Constitution and laws of the State of California with its principal place of business at 78495 Calle Tampico, La Quinta, California 92253, and Reliable Translations, Inc., with its principal place of business at 121 West Lexington Dr., Suite L106D, Glendale, CA 91203 ("Vendor"). City and Vendor are sometimes individually referred to as "Party" and collectively as "Parties" in this Agreement. 2. TERMS AND CONDITIONS. The Parties shall comply with the terms and conditions in the attached Exhibit "A." 3. SCOPE AND SCHEDULE OF SERVICES. Vendor shall provide to City the services pursuant to the date(s) and schedule(s) described in accordance with the schedule set forth in Exhibit "B." 4. TERM. The term of this Agreement shall be from January 1, 2026, to June 30, 2027, unless earlier terminated as set forth in the attached Terms and Conditions. This Agreement may not extend beyond a period of five (5) years, unless under the City's Fiscal Policies and Procedures this Agreement is exempt from the five (5) year limitation. 5. COMPENSATION. Vendor shall receive compensation for services rendered under this Agreement at the rates and schedule set forth in the attached Exhibit "C" but in no event shall Vendor's compensation exceed Five Thousand Dollars ($5,000) for the Term of the Agreement without written amendment. 6. FORCE MAJEURE. The time period specified for performance of the services rendered pursuant to this Agreement shall be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of Vendor including, but not restricted to, acts of God or of the public enemy, fires, earthquakes, floods, epidemic, quarantine restrictions, riots, strikes, freight embargoes, acts of any governmental agency other than City, and unusually severe weather, if Vendor shall within ten (10) days of the commencement of such delay notify the City in writing of the causes of the delay. The City shall ascertain the facts and the extent of delay and extend the time for performing the Services for the period of the forced delay when and if in their judgment such delay is justified, and the City's determination shall be final and conclusive upon the parties to this Agreement. Extensions to time periods for performance of services, which are determined by the City to be justified pursuant to this Section, shall not entitle the Vendor to additional compensation unless City expressly agrees to an increase in writing. 7. COUNTERPARTS. This Agreement may be executed in counterparts, each of which shall be deemed to be an original, and such counterparts shall constitute one and the same instrument. 8. INSURANCE. In accordance with Section 4 of Exhibit 'A" Vendor shall, at its expense, procure and maintain for the duration of the Agreement such insurance policies as checked below and provide proof of such insurance policies to the City. Vendor shall obtain policy endorsements on Commercial General Liability Insurance that name Additional Insureds as follows: The City of La Quinta, its officers, officials, employees and agents. Vendor shall be paid on a time and materials or lump sum basis, as may be set forth in Exhibit "C", within 30 days of completion of the Work and approval by the City. 2. Compliance with Law. Vendor shall comply with all applicable laws and regulations of the federal, state and local government. Vendor shall assist the City, as requested, in obtaining and maintaining all permits required of Vendor by Federal, State and local regulatory agencies. Vendor is responsible for all costs of clean up and/or removal of hazardous and toxic substances spilled as a result of his or her Work. In explanation of the forgoing and not by way of limitation. 3. Standard of Care. The Vendor shall perform the Work in accordance with generally accepted professional practices and principles and in a manner consistent with the level of care and skill ordinarily exercised by members of the profession practicing under similar conditions. 4. Insurance. The Vendor shall take out and maintain, during the performance of all work under this Agreement: A. Commercial General Liability Insurance in the amounts specified in Section 8 of the Agreement for bodily injury, personal injury and property damage, at least as broad as Insurance Services Office Commercial General Liability coverage (Occurrence Form CG 0001), and if no amount is selected in Section 8 of the Agreement, the amounts shall be $1,000,000 per occurrence/$2,000,000 aggregate; B. Automobile Liability Insurance for bodily injury and property damage including coverage for owned, non -owned and hired vehicles, of at least $1,000,000 per accident for bodily injury and property damage, at least as broad as Insurance Services Office Form Number CA 0001 (ed. 6/92) covering automobile liability, Code 1 (any auto); C. Workers' Compensation in compliance with applicable statutory requirements and Employer's Liability Coverage of at least $1,000,000 per accident or disease. Vendor shall also submit to City a waiver of subrogation endorsement in favor of city, and D. Professional Liability (Errors and Omissions) coverage, if checked in section 6 of the Agreement, with a limit not less than $1,000,000 per claim and which shall be endorsed to include contractual liability. Insurance carriers shall be authorized by the Department of Insurance, State of California, to do business in California and maintain an agent for process within the state. Such insurance carrier shall have not less than an "A"; "Class VII" according to the latest Best Key Rating unless otherwise approved by the City. A-1 5. Indemnification. The Vendor shall indemnify and hold harmless the City, its Council, members of the Council, agents and employees of the City, against any and all claims, liabilities, (including liability related to exposure to communicable diseases, illnesses, or viruses), expenses or damages, including responsible attorneys' fees, for injury or death of any person, or damage to property, or interference with use of property, or any claim of the Vendor or subcontractor for wages or benefits which arise in connection with the performance of this Agreement, except to the extent caused or resulting from the active negligence or willful misconduct of the City, its Council, members of the Council, agents and employees of the City. The foregoing indemnity includes, but is not limited to, the cost of prosecuting or defending such action with legal counsel acceptable to the City and the City's attorneys' fees incurred in such an action. 6. Laws and Venue. This Agreement shall be interpreted in accordance with the laws of the State of California. If any action is brought to interpret or enforce any term of this Agreement, the action shall be brought in a state or federal court situated in the County of Riverside, State of California. 7. Termination. The City may terminate the services procured under this Agreement by giving 10 calendar days written notice to Vendor. In such event, the City shall be immediately given title and possession to any original field notes, drawings and specifications, written reports and other documents produced or developed for the services. The City shall pay Vendor the reasonable value of services completed prior to termination. The City shall not be liable for any costs other than the charges or portions thereof which are specified herein. Vendor shall not be entitled to payment for unperformed services, and shall not be entitled to damages or compensation for termination of work. Vendor may terminate its obligation to provide services under this Agreement upon 30 calendar days' written notice to the City only in the event of City's failure to perform in accordance with the terms of this Agreement through no fault of Vendor. 8. Agreement Terms. Nothing herein shall be construed to give any rights or benefits to anyone other than the City and the Vendor. The unenforceability, invalidity or illegality of any provision(s) of this Agreement shall not render the other provisions unenforceable, invalid or illegal. Notice may be given or delivered by depositing the same in any United States Post Office, certified mail, return receipt requested, postage prepaid, addressed to the parties to the addresses set forth in the Agreement. Vendor shall not assign, sublet, or transfer this Agreement or any rights under or interest in this Agreement without the written consent of the City, which may be withheld for any reason. Vendor is retained as an independent contractor and is not an employee of the City. No employee or agent of Vendor shall become an employee of the City. The individuals signing this Agreement represent that they have the authority to sign on behalf of the parties and bind the parties to this Agreement. This is an integrated Agreement representing the entire understanding of the parties as to those matters contained herein, and supersedes and cancels any prior oral or written understanding or representations with respect to matters covered hereunder. This Agreement may not be modified or altered except in writing signed by both parties hereto. EXHIBIT "B" SCOPE AND SCHEDULE OF SERVICES Vendor shall provide services related to Interpretation and Translation as specified below and set forth in this "Exhibit B". Services are to be provided on an on -call basis, and compensated at the rates as specified in "Exhibit C" Compensation for services: Interpretation: • Interpretation of oral communication to and from English and native foreign languages, including but not limited to: Simultaneous, Consecutive, and Escort style interpretations, as defined in this Exhibit B. Translation: • Translations of documents from English to languages designated by the City and mutually agreed upon by both Parties, as set forth in this Exhibit B. If you do not find the answer to your question here, please ask your service representative. TRANSLATIONS How do I place an order for a translation or translations? Written Translations: If you have a translation request, simply email it to Translations(d)_RtiTran.com and attach the document(s), note the language or languages to be translated into and the date by which you need the translation completed and returned to you. If there is any other information, reference material such as a glossary, or any other special requests for the translation or formatting, just include it in the email request. If your document is very large (10 MEG or larger), you can request a secure link by email that will allow you to upload your files safely with a simple drag and drop of the files. Your service representative will usually get back to you in no more than 30 minutes confirming the request. If there is any missing information, the service representative will ask in the return communication. Other than that, we will get right on it and get it completed and right back to you! Can I make a translation request at any time and for a very short turnaround time? YES, you can. In almost all cases we can meet your request. If we know we honestly cannot, we will inform you. But be assured we do have the resources to meet very tight turnaround times no matter the size of the request. What is a RUSH request for a translation and what is the charge? A RUSH request is any request that requires a turnaround of 24 hours or less. Be advised, this definition can change depending on volume and the nomenclature (highly specialized such as scientific, medical, etc.). Your service representative will let you know right away but be assured almost all RUSH requests can be fulfilled for the deadline and if that is not the case for any reason, you will be informed right away to work out the best solution. The charge for a RUSH translation is $0.06/word in addition to the standard price. Small documents incurring a flat rate base fee DO NOT receive any extra charge for RUSH. What are FLAT RATE minimum charges? Very small documents will have a flat rate minimum (Base) charge. The size of a flat rate document is variable depending on the language, but generally falls in the range of 250-400 words or if your document is larger than this minimum size, a per word rate for that language applies instead. Flat rate charges for minimum word translations can vary slightly, so please always check with your Service Representative. Can a translation order be cancelled? No, translations are started almost immediately, and because translators are paid in full for translations once assigned, we do need to also charge in full for the translation after an allowed grace period of 20 minutes. Does Reliable Translations use Machine -Translation Software or Google to Translate? NO. Our Translations are 100% Human Generated and this is expressly stated in the Reliable Translations Contract with Linguists. 100% Human Generated Translations also ensure the target audience is receiving the communication in its intended form. INTERPRETING How do I Place an order for an Oral Interpreting request? Oral Interpreting: For an interpreting request simply email Interpreting(a)_RtiTran.com. Please include the language(s) needed, the date, the starting time and ending time, and the type of meeting. If it is an on -site meeting, include the location with the complete physical address, or if it will be virtual (Zoom, Skype, etc.) include the Zoom link and any other needed information such as an agenda for the virtual event/meeting. If you need written document translations to complement your event, such as a PowerPoint or printed agenda, let us know and we can get it translated. Your Service Representative will contact you within 30 minutes of the request to confirm arrangements and make sure your interpreting service is fully set up! For any interpreting request, you can always call (818) 484-8673 Ext. 3 to discuss it with your Service Representative. Can I schedule an interpreting job with very short notice? Is there an extra fee? YES, you can schedule an interpreting job with as short a notice as just minutes before the event, if you would like. NO, there would not be an extra fee. The only problem with ordering on short notice would be the availability of Interpreters to cover it and simply if we can schedule them and get them there on time. In this case, as soon as you schedule the job, covered or not, Reliable Translations charges the full rate. So it is simply NOT advised to schedule interpreting events with any shorter notice than 24 hours prior to the event or meeting. The BIGGER the event and more languages required, the longer the advance notice we advise. If there are any issues whatsoever with coverage, your Service Representative will let you know right away. But be assured we can cover pretty much anything you throw at us. We just ask that you give us as much advance notice as possible, and the bigger the event and the more languages needed, any additional time given makes it easier for all parties involved. What is the cancellation policy on Interpreting assignments? If a client schedules an Interpreting assignment of less than 20 hours of interpreting time, we confirm the assignment with you, and you then cancel within 24 hours of the scheduled start time, it is considered a late cancellation and the full job as scheduled will be charged. If a client schedules an Interpreting assignment of 20 — 74 hours of interpreting time, we confirm the assignment with you, and you then cancel within 48 hours of the scheduled start time, it is considered a late cancellation and the full job as scheduled will be charged. If a client schedules an Interpreting assignment of 75 or more hours of interpreting time, we confirm the assignment with you, and you then cancel within 72 hours of the scheduled start time, it is considered a late cancellation and the full job as scheduled will be charged. Please also note: Any Interpreting job received within 24 hours of the scheduled start time and also confirmed within 24 hours of the scheduled start time, which is then cancelled before the scheduled start time, will be charged in full. FOR ASL INTERPRETING JOBS, if a client schedules any ASL assignment, we confirm the assignment with you, and you then cancel within 48 hours of the scheduled start time, it is considered a late cancellation and the full job as scheduled will be charged. What is Simultaneous Interpreting: Simultaneous Interpreting means a linguist is interpreting a meeting or event while the speaker speaks (simultaneously to the speaker). For in -person meetings, this usually requires a transmitter and receivers for those hearing the interpreter. Simultaneous basically means "At the same time." This style is used in almost all meetings and events where there is a speaker and multiple people are being interpreted for. It is even used for a single audience member if the speaker does not want to be interrupted while speaking. What is Consecutive Interpreting? This is interpreting during which the interpreter waits for the speaker to say about 2 or 3 lines. Then the speaker pauses so the interpreter can interpret those lines for the other party. This protocol is usually explained to the speaker, if necessary, before the event begins, so the speaker is aware to stop after a few lines, allowing the interpreter to interpret them. The interpreter can ask/answer questions back and forth or convey the answers to the speaker. This is common for medical environments, one on one conversations, and interviews of any kind. Can I send a translation or interpreting request at ANY time? YES. You can email your request ANYTIME to the email addresses mentioned above. They will be answered as soon as they are received within 30 minutes during normal business hours Monday -Saturday. You may need to give it a little more time on a Sunday or after 6:30 PM PST. Besides that, you will always get an answer within 30 minutes. In fact, it is very common for our Service Representatives to answer request emails within 10 minutes! How is interpreting billed in terms of hours? Reliable Translations does have a minimum number of hours for any interpreting job, which is based on the booked time. The billing requirements are listed in bullet points below: • 1-hour minimum for telephonic interpreting • A 1.5 hour minimum per language for any virtual event/meeting (Zoom, Skype, etc.). • A 2-hour minimum for any ON SITE event/meeting (Physical location that the interpreter must travel to). • For any virtual event using Simultaneous Interpreting, 2.5 hours or more requires 2 interpreters per language. Specialized scenarios such as medical, scientific, or specialized terminology may require a partner for an even shorter meeting, and this is determined by yourSales • Representative or Service Representative. Most scenarios are NOT specialized. • For any ON SITE Simultaneous Interpreting, a meeting of 3 hours or more requires 2 interpreters per language. • For ON SITE Simultaneous interpretation of 2.5 hours or more with no breaks, 2 or more interpreters per language will be required. • Consecutive Interpreting usually does not require 2 interpreters per language except under certain scenarios such as a large audience for which 2 or more interpreters per language may need to "roam" to handle "Question and Answer" sessions for people in the audience. • If an interpreting session runs beyond the originally booked ending time, we add charges in 15-minute increments, rounded to the nearest 15 minutes, for each interpreter on the assignment. (Please be sure to book enough time when you set up your assignment, since interpreters may have other booked assignments later that day that they must honor. They will continue if available.) • For ASL (American Sign Language) we often need to book 2 interpreters for assignments even shorter than 2 hours. This language is physically taxing as well as mentally, so having an interpreting partner is needed more frequently. Check with your service representative and provide details of your request. Are there any other charges for Interpreting services? • There could be, and your Sales or Service Representative will letyou know upfront what these would be. Below are some other possible charges: • Mileage for ON SITE interpretation. This charge is usually fortraveling distances of 25 miles or more each way. (We use the standard IRS mileage reimbursement rate announced yearly.) • For On -Site Simultaneous Interpreting Reliable Translations charges for equipment rental if you are not providing the equipment for Interpreting. For any virtual event, if a Technician for the virtual platform is needed, we do charge an hourly rate for the Technician. Where there are multiple languages, or multiple speakers in a virtual event, yourService • Representative can discuss any needed set up time for Interpreters to come online for testing of the set-up arrangements in coordination with staff and technician before the event commences. • As noted above, overtime beyond the booked time is charged in 15- minute increments and will be added after the event. • ASL could require a second "partner" interpreter at or even before the 2- hour mark. NO. Reliable Translations only uses Professionals in the field of Interpreting and Translations. Reliable Translations has a direct 17-page binding Contract with every linguist that we use. This alone ensures a professional level of quality for every job we do as we only pull from these resources. Reliable Translations also does quality checks on every linguist to ensure a continued high level of quality. Are there any extra charges or hidden fees after I get my initial quote? NO. Reliable Translations is unique in this field as our final quoted price is always the FINAL price. You will never incur ANY additional fees, hidden charges, or surcharges with Reliable Translations. If your assignment changes from your initial booking by running overtime, we charge the additional time in 15-minute increments, but we use the same hourly rate, not time and a half, or double time. Other translation and interpreting companies sometimes quote a very low price, but by the time the job is completed or is in progress, the job has incurred many additional fees. This is something you will never experience with Reliable Translations. How do I pay? In your INITIAL sale (your first purchase) we will usually ask for a 50% deposit. All subsequent requests/work can be billed to your company or purchasing department. We do understand that many Government entities, Schools and Corporations only pay by invoicing and/or Purchase Order. In this case your Sales Representative will work out the best payment option for you on your initial quote/sale. What if there is a problem with any Translation or Interpreting job? Immediately contact your Customer Service Representative and he or she will handle it right away. Does Reliable Translations outsource its tech/customer support? NO. Reliable Translations has employees in 3 separate locations in the United States that cover all three regions (West, Central and East). After your initial sale/order, you will be set up with a Service Representative who will handle ALL your future job requests from that point forward and any service or tech questions. You will have a dedicated Service Representative who is available by phone during business hours and email 7 days a week. Can I call with a question at any time? You can call (818) 484-8673 at any time, but the hours for our main line are limited to 8:30 AM to 6PM PST Monday through Friday with occasional phone availability on Saturday.
