AMENDMENT NO. 1 TO AGREEMENT FOR CONTRACT SERVICES
WITH CONVERGINT TECHNOLOGIES LLC.
This Amendment No.1 ("Amendment 1") to Agreement for Contract Services
("Agreement") is made and entered into as of the 20th day of January 2026, ("Effective
Date") by and in between the CITY OF LA QUINTA ("City"), a California municipal
corporation, and Convergint Technologies LLC ("Contracting Party").
RECITALS
WHEREAS, on or about October 3, 2024, the City and Contracting Party entered
into an Agreement to provide services related to the public safety camera system for
preventative and software maintenance, for a total not to exceed amount of $114,946.
The term of the Agreement expires on June 30, 2026 ("Initial Term"); and
WHEREAS, the City and Contracting Party mutually agree to amend Section 2.1
Contract Sum and related Exhibit B of the Agreement to increase compensation by
$50,000, for a total not to exceed the amount of $164,946 due to additional cost related
to camera system maintenance; and
WHEREAS, the City and Contracting Party mutually agree to amend Section 3.4
Term of the Agreement to extend the term for two additional years, from July 1, 2026,
through June 30, 2028 ("Extended Term").
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows:
1. Section 2.1 Compensation is amended to read as follows:
Section 2.1 Contract Sum. For the Services rendered pursuant to this Agreement,
Contracting Party shall be compensated in accordance with " Exhibit B" ( the " Schedule
of Compensation") in a total amount not to exceed One Hundred Sixty Four Thousand
Nine Hundred and Forty Six Dollars ($164,946), for the life of the Agreement,
encompassing the Initial and any Extended Terms (the "Contract Sum"), except as
provided in Section 1. 7. The method of compensation set forth in the Schedule of
Compensation may include a lump sum payment upon completion, payment in
accordance with the percentage of completion of the Services, payment for time and
materials based upon Contracting Party' s rate schedule, but not exceeding the Contract
Sum, or such other reasonable methods as may be specified in the Schedule of
Compensation. The Contract Sum shall include the attendance of Contracting Party at all
project meetings reasonably deemed necessary by City; Contracting Party shall not be
entitled to any additional compensation for attending said meetings. Compensation may
include reimbursement for actual and necessary expenditures for reproduction costs,
transportation expense, telephone expense, and similar costs and expenses when and if
specified in the Schedule of Compensation. Regardless of the method of compensation
set forth in the Schedule of Compensation, Contracting Party' s overall compensation
shall not exceed the Contract Sum, except as provided in Section 1. 7 of this Agreement.
2. "Exhibit B" — Schedule of Compensation is amended as listed in "Exhibit B,"
attached hereto and incorporated herein by this reference.
3. Section 3.4 Term is amended to read as follows:
Section 3.4 Term. Unless earlier terminated in accordance with the provisions in Article
8.0 of this Agreement, the term of this agreement shall commence on August 13, 2024,
and terminate on June 30, 2026 ("Initial Term"). Notwithstanding any provisions to the
contrary in effect prior to the date of this Amendment No. 1, this Agreement is extended
for two (2) additional years and shall remain in full force and in effect until June 30, 2028
("Extended Term").
In all other respects, the original Agreement shall remain in effect.

Schedule of Compensation
With the exception of compensation for Additional Services, provided for in Section
2.3 of this Agreement, the maximum total compensation to be paid to Contracting Party
under this Agreement is not to exceed One Hundred Sixty Four Thousand Nine Hundred
and Forty Six Dollars ($164,946), for the life of the Agreement encompassing the Initial
and any Extended Terms ("Contract Sum"). The Contract Sum shall be paid to
Contracting Party in installment payments on a monthly basis and in an amount identified
in Contracting Party's schedule of compensation attached hereto for the work tasks
performed and properly invoiced by Contracting Party in conformance with Section 2.2 of
this Agreement.

STAFF REPORT
AGENDA TITLE. APPROPRIATE FUNDING FOR FISCAL YEAR 2025-26 AND
APPROVE AMENDMENT NO. 1 TO AGREEMENT FOR CONTRACT SERVICES WITH
CONVERGINT TECHNOLOGIES, LLC TO PROVIDE PUBLIC SAFETY CAMERA
SYSTEM MAINTENANCE SERVICES FOR TWO-YEAR EXTENSION
RECOMMENDATION
Appropriate funding for fiscal year 2025-26 and approve Amendment No. 1 to Agreement
for Contract Services with Convergint Technologies, LLC to provide Public Safety Camera
System maintenance services for a two-year extension; and authorize the City Manager
to execute the Amendment.
EXECUTIVE SUMMARY
• In January 2020, the City contracted with Convergint Technologies, LLC to design
the Public Safety Camera System (PSCS), and in 2021 awarded Convergint the
project for its construction and installation, including a maintenance non -disclosure
agreement that expired in August 2024.
• The PSCS is a very effective tool used daily to solve crime and assist in
investigations.
• In October 2024, the City Council approved a two-year agreement with Convergint
to continue providing PSCS maintenance services during FY 2024/25 through
2025/26.
• Amendment No. 1 (Attachment 1) proposes a two-year term extension and a
$50,000 contingency increase to allow Convergint to continue providing necessary
maintenance to the PSCS.

If approved, Amendment No. 1 would increase the total compensation not to exceed
$164,946 under the agreement, as detailed in the table below. This amount includes a
$50,000 increase to contingencies for the life of the agreement to accommodate
equipment replacement and labor costs not covered under the maintenance agreement.
An appropriation of $25,000 is requested in the FY 2025/26 Police Public Safety Camera
System Maintenance budget (Account No. 101-2001-60692) to fund necessary repairs.
Ongoing costs will be budgeted in accordance with the agreement for future fiscal years.

BACKGROUND/ANALYSIS
In January of 2020, the City contracted Convergint for the comprehensive design of the
City's PSCS. In 2021, Convergint was awarded Project No. 2020-03 for the construction
and installation of the PSCS and executed a non -disclosure agreement for PSCS
maintenance services.
The PSCS is heavily utilized and is a critical system for law enforcement operations. Due
to the systems' continued use and demand, ongoing preventative maintenance is
required to ensure the system is operational. In October 2024, Council approved an
agreement with Convergint to provide PSCS maintenance services through their
Customer Support Program (CSP), which is an ongoing maintenance service after
installation.
The proposed Amendment No. 1 initiates the previously approved two-year extension and
provides a $50,000 increase in contingency funds to ensure Convergint can continue
providing necessary PSCS maintenance and equipment replacements throughout the
extended contract term. The previously approved contingency funds were utilized to
complete unanticipated required camera repairs at La Quinta Park.
If approved, this amendment allows Convergint to continue to provide preventative on -
site and software maintenance, annual software upgrades, direct manufacturer's support,
and access to the iCare Manager platform for service tracking, reporting, and online
customer support.
ALTERNATIVES
Council may elect to modify or not approve the amendment.
