This Amendment No. 2 ("Amendment 2") to Agreement for Contract Services ("Agreement") is made and entered into as of the 17th day of February, 2026, ("Effective Date") by and between the City of La Quinta ("City"), a California Municipal Corporation and Charter City organized under the Constitution and laws of the State of California with its principal place of business at 78495 Calle Tampico, La Quinta, California 92253, and NV5, Inc. ("Contracting Party"). RECITALS WHEREAS, on or about March 24, 2025, the City and Contracting Party entered into an Agreement to provide those services related to design and related professional services for the Washington Street Sidewalk Improvements Project No. 2023-03 and Avenue 50 Sidewalk Improvements Project No. 2024-01, for a total not to exceed amount of $116,390. The initial term of the Agreement expired on December 31, 2025 ("Initial Term"); and WHEREAS, on or about December 31, 2025, the City and Contracting Party mutually agreed to amend Section 3.4 Term to extend the term of the Agreement for one additional, from January 1, 2026, through December 31, 2026 ("Extended Term"); and WHEREAS, the City and Contracting Party mutually agree to amend Section 1.1 Scope of Services, of the Agreement to provide additional project management and landscaping and irrigation design services for both projects as identified in Exhibit A of this Amendment, and Section 2.1, Contract Sum, of the Agreement to increase the compensation by $33,782, for a total not to exceed amount of $150,172, as identified in Exhibit B of this Amendment. NOW THEREFORE, in consideration of the mutual covenant herein contained, the parties agree as follows: AMENDMENT In consideration of the foregoing Recitals and the covenants and promises hereinafter contained, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto agree as follows: 1. Section 1.1 is amended to read as follows: Section 1.1 — Scope of Services. In compliance with all terms and conditions of this Agreement, Contracting Party shall provide those services related to design and related professional services for the Washington Street Sidewalk Improvements Project No. 2023-03 and Avenue 50 Sidewalk Improvements Project No. 2024-01, and additional landscaping and irrigation design services, as detailed in "Exhibit A" attached hereto and incorporated herein by this reference (the "Services"). Contracting Party represents and warrants that Contracting Party is a provider of first-class work and/or services and Contracting Party is experienced in performing the Services contemplated herein and, in light of such status and experience, Contracting Party covenants that it shall follow industry standards in performing the Services required hereunder, and that all materials, if any, will be of good quality, fit for the purpose intended. For purposes of this Agreement, the phrase "industry standards" shall mean those standards of practice recognized by one or more first-class firms performing similar services under similar circumstances. 2. "Exhibit A" — Scope of Services is amended to include the additional services detailed in Exhibit A, attached to this Amendment No. 2, and incorporated herein by this reference. 3. Section 2.1 is amended to read as follows: Section 2.1 — Contract Sum. For the Services rendered pursuant to this Agreement, Contracting Party shall be compensated in accordance with "Exhibit B" (the Schedule of Compensation") in a total amount not to exceed One Hundred Fifty Thousand One Hundred Seventy -Two Dollars ($150,172), for the life of the Agreement, encompassing the Initial and any Extended Terms (the "Contract Sum"), except as provided in Section 1.7. The method of compensation set forth in the Schedule of Compensation may include a lump sum payment upon completion, payment in accordance with the percentage of completion of the Services, payment for time and materials based upon Contracting Party's rate schedule, but not exceeding the Contract Sum, or such other reasonable methods as may be specified in the Schedule of Compensation. The Contract Sum shall include the attendance of Contracting Party at all project meetings reasonably deemed necessary by City; Contracting Party shall not be entitled to any additional compensation for attending said meetings. Compensation may include reimbursement for actual and necessary expenditures for reproduction costs, transportation expense, telephone expense, and similar costs and expenses when and if specified in the Schedule of Compensation. Regardless of the method of compensation set forth in the Schedule of Compensation, Contracting Party's overall compensation shall not exceed the Contract Sum, except as provided in Section 1.7 of this Agreement. 4. "Exhibit B" — Schedule of Compensation is amended as listed in "Exhibit B," attached hereto and incorporated herein by this reference. In all other respects, the original Agreement shall remain in effect. Cooper, PE EVP, Chief Operating Officer Dated: 03/11 /2026 Exhibit A Scope of Services SECTION 1: SCOPE OF SERVICES NV5 proposes to complete the following scope of services: Phase 1- Landscape & Irrigation Design 1_ Review record drawings/as-built plans from the City of La Quinta, review reference materials and City design standards, review utility design plans, review site photos to identify type and size of all existing vegetation and irrigation equipment within the project limits and prepare landscape base sheets. 2. Prepare 90%, 99% and Final 100% landscape Plans. Specifications and Cost Estimate (PS&E) for Avenue 50 (BASE BID). The pre -final and final signed plans, drawn in AutoCAD, will depict existing above -ground features within the right-of-way to remain, new engineering improvements, proposed new planting and irrigation improvements, and schedules, notes, and details for the roadsides impacted by the proposed sidewalks between Avenida Montero and Washington Street. 3. Prepare 90%, 99% and Final 100% landscape Plans. Specifications and Cost Estimate (PS&E) for Washington Street (ADD/T/VEALTERNATE). The pre -final and final signed plans, drawn in AutoCAD, will depict existing above -ground features within the right-of-way to remain, new engineering improvements, proposed new plantingand irrigation improvements, with schedules, notes, and details for the roadsides impacted by the proposed sidewalks between Sta. 25+00 and Sta. 39+00. Deliverables will include - A. Planting and Irrigation plans at the following milestones - 90%, 99% and Final (100%). B. Preliminary and final Technical Specifications in accordance with the City of La Quinta (Base Bid and Additive Alternate Packages) C. Preliminary and final Cost Estimates in accordance with the City of La Quinta (Base Bid and Additive Alternate Packages) Phase 2 - Project Management NV5 will provide overall project management services throughout the project. Our project management tasks will include coordinating the project team, managing scope, schedule, and budget, and serving as the primary point of contact for the City. We will monitor progress against agreed -upon milestones, facilitate coordination with the design teams and stakeholders, and conduct regular project meetings as needed. We will also manage quality control procedures, track action items, and provide periodic status updates to the City to assure timely delivery of project deliverables in accordance with applicable standards, agency requirements, and the approved project schedule. SECTION 2: ASSUMPTIONS 1. Meetings with the City will be virtual. NV5 assumes a maximum of four (4) meetings throughout the duration of Phase 1- Tasks 1, 2, and 3. 2. Some existing irrigation systems within the Project limits may need to be protected in place, in "as -is" condition, or with minimal changes. In those instances, minimal changes might include replacement of heads and/or nozzles or replacing existing equipment in place with in -kind products. 3. No new irrigation Points of Connection (POCs), water meters, electrical power service connections, or controllers will be required for the new irrigation designs. 4. Technical specifications will comply with the City of La Quinta or Greenbook format (current edition). SECTION 3: EXCLUSIONS 1. Land use planning and permitting 2. Entry monument and interpretive sign design Exhibit B Contract Sum With the exception of compensation for Additional Services, provided for in Section 2.3 of this Agreement, the maximum total compensation to be paid to Contracting Party under this Agreement is not to exceed One Hundred Fifty Thousand One Hundred Seventy -Two Dollars ($150,172) (the "Contract Sum"), comprised of $116,390 for design and professional services as detailed in Exhibit B of the Agreement, and $33,782 for additional design services as detailed in this Exhibit B to this Amendment No. 2. The Contract Sum shall be paid to Contracting Party in installment payments made on a monthly basis and in an amount identified in Contracting Party's schedule of compensation attached hereto for the work tasks performed and properly invoiced by Contracting Party in conformance with Section 2.2 of the Agreement. Compensation for additional services identified in Exhibit A: We propose to perform our services on a Time and Materials (T&M) basis in a total amount, not -to - exceed fee of thirty-two thousand four hundred dollars ($32,400) for the base bid price. If selected, the additive alternate shall not exceed a fee of thirty-three thousand seven hundred and eighty-two dollars ($33,782). The City will be notified in advance, and written authorization will be requested prior to NV5 performing any work that would exceed the proposed hours or associated cost under this proposal. All services will be performed as a task order under the terms of our existing agreement with the City dated March 24, 2025, following the fee schedule presented therein, attached hereto, and as follows. REIMBURSABLE EXPENSES Reimbursable expenses include photocopies, plotting, outside printing, mileage, travel, and overnight mail, which will be billed at cost. An estimated amount for reimbursable expenses is shown in the fee table. EXECUTIVE SUMMARY • The projects are located along the east side of Washington Street from Avenue 50 to Calle Tampico and along the north side of Avenue 50 from Washington Street to Avenida Montero (Projects) (Attachment 1) and are currently in design. • On April 1, 2025, Council approved an Agreement for Contract Services (Agreement) with NV5, Inc. (NV5) to provide professional design services for the Projects. • The proposed Amendment No. 2 (Attachment 2) to the Agreement includes additional landscape and irrigation design services for an additional not -to -exceed amount of $33,782 billed on a time -and -materials basis. FISCAL IMPACT The total Projects budgets remain the same as allocated in fiscal years 2023/24 and 2024/25 Capital Improvement Program (CIP) in the amount of $478,000 in SB 1 Road Maintenance/Rehabilitation Funds and $400,000 in Measure A Funds. Funds are available in the Projects budgets (401-0000-60185-202303-D) — contingency funds of $8,000 will be allocated to the design category for the additional landscape and irrigation design services under the proposed Amendment No. 2 in the amount of $33,782, for a total not to exceed Agreement amount of $150,172. 41 The following are the updated Projects budgets: Avenue 50 2024-01 Project Budget Washington Street 2023-03 Project Budget Professional $ 24,000 $ 47,800 Design $ 34,000 $ 123,000 Inspection/Testing/SurveyInspection/Testing/Survey $ 27,000 $ 32,265 Construction $ 280,000 $ 254,035 Contingency $ 35,000 $ 20,900 TOTAL: $ 400,000 $ 478,000 BACKGROUND/ANALYSIS The Projects will construct a 5-foot curb -adjacent sidewalk along Avenue 50 from Washington Street to the pedestrian gate at Avenida Montero and along Washington Street from Calle Tampico to the evacuation channel bridge that meanders to accommodate existing utilities and palm trees. It will also replace the curb ramp at the Village Shopping Center for Americans with Disabilities Act (ADA) compliance, improve pedestrian access and address issues with the retaining wall and garden wall located in both sections and modify the existing landscape and irrigation to incorporate the sidewalk and retaining wall. In April 2025, Council approved an Agreement with NV5 to provide design services for the Projects, following the competitive request for proposals procurement process issued in January 2025. The Agreement was set to expire December 31, 2025. Amendment No. 1 was executed in December 2025, extending the Agreement term to December 31, 2026. The proposed Amendment No. 2, if approved, will amend the scope of work to include additional project management and landscaping and irrigation design services for the Projects, and respectively increase the compensation by $33,782, for a total not to exceed Agreement amount of $150,172.
