PARTIES
This Service Contract Agreement (hereinafter referred to as the "Agreement') is entered into on the signing date of this Agreement (the "Effective Date"),
by and between Jennifer Minch, an individual, DBA Perfect Holiday Lights, with an address of 1742 E Lugonia Avenue, Suite 117-43, Redlands, California
92374, (hereinafter referred to as the "Service Provider') and above aforementioned Customer at the address listed above (hereinafter referred to as the
"Client") (individually referred to as the "Party", and collectively referred to as the "Parties").
TERM OF AGREEMENT
This Agreement shall be effective on the signing date of this Agreement and shall continue in effect until terminated by either Party to this Agreement.
LIST OF SERVICES PROVIDED AND THEIR PRICES
The Service Provider shall have the responsibility to perform and provide the provision of the services as outlined above (hereinafter referred to as
"Services") and client agrees to pay the Service Provider in accordance with the following schedule:
A 50% deposit is due upon contract signing/approval. The balance is due when the installation is completed.
Our commitment is should there be any required service calls, they typically are completed the same day of notice, however, at peak installation periods
they will be completed no later than 48 hours of notice. Service calls due to damaged product may be subjected to a service fee. Displays and lights are
guaranteed to remain functional starting at date of turn on through December 31st of the current calendar year.
LII lights will be pre -installed at our discretion and turned on per this contract. Installation dates, in accordance with the City of La Quinta, are November
23 through November 25, 2026, unless otherwise requested.
Tear -down of the project for this contract will be completed at our discretion. All lights and decorations will be removed from the location between
January 1, 2027, and no later than January 15, 2027.
INVOICES
The Parties agree that the invoiced amounts must be paid within 30 days after the Client receives the invoice. Any overdue or unpaid balances will be
subject to a late fee of $50 after the due date has passed. In addition, unpaid balances over $1000 will be subject to 3% interest per month, charged
daily until the balance is paid.

This Agreement may be terminated at any time upon 15 days prior written notice to the other Party. In the event the Client terminates the Agreement,
the Client shall still remain obligated to pay the Service Provider for any Services performed up to the date of termination and any expenses approved,
but not paid, prior to the date of termination. In the event the Service Provider terminates the Agreement, the Service Provider shall reimburse the Client
any amounts previously paid to the Service Provider for which the Service Provider has not yet performed the Services.
This Agreement will automatically terminate upon the completion of the provisions of the Services and payment.
RELATIONSHIP OF THE PARTIES
The Parties agree that this is a non-exclusive agreement. The Parties agree they are free to enter into other similar agreements with other parties.
The Service Provider is an independent contractor. Neither Party is an agent, representative, partner, or employee of the other Party.
AMENDMENTS
The Parties agree that any amendments made to this Agreement must be in writing and they must be signed by both Parties to this Agreement.
Accordingly, any amendments made by the Parties will be applied to this Agreement.
ASSIGNMENT
The Parties are not entitled to assign the responsibilities that they have under this Agreement to anyone else unless both Parties agree to the assignment
and provide such agreement in writing.

This Agreement contains the entire agreement and understanding among the Parties to it with respect to its subject matter and supersedes all prior
agreements, understandings, inducements, and conditions, express or implied, oral or written, of any nature whatsoever with respect to its subject
matter. The express terms of the Agreement control and supersede any course of performance and/or usage of the trade inconsistent with any of
its terms.
SEVERABILITY
In the event that any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, then the remaining
provisions will remain in force in accordance with the Parties' intention.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the state of California for all purposes regarding this Agreement and
further agrees and consents that venue of any action brought hereunder shall be exclusively in the county of San Bernardino, California. If either party
brings an Action to enforce their rights under this agreement, the prevailing party may recover its expenses (including reasonable attorneys' fees)
incurred in connection with the Action and any appeal from the losing party.
