HomeMy WebLinkAboutEverbridge Inc (Nixle) 2025 Master Service Agmt Amend 1 - Emergency NotificationsAmendment to Master Services Agreement This Amendment ("Amendment") to the Everbridge — Nixle Master Services Agreement dated May 7, 2019, by and between Everbridge, Inc., a Delaware corporation ("Everbridge"), and City of La Quinta ("Client") is effective as of the date of the Client's signature below. All capitalized terms used herein without definition shall have their respective meanings set forth in the Agreement (as defined below). WHEREAS, Everbridge and Client previously entered into a service agreement for the provision of mass notification services (such agreement including any previous amendments, referred to as the "Agreement"); WHEREAS, the Parties desire to amend the Agreement on and subject to the terms of this Amendment; NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, and other good and valuable consideration, the Parties agree to amend the Agreement as follows: 1. Confidentiality Information Protection: The Protection provision of the Agreement (Section 7.2) shall be deleted and replaced in its entirety as follows: 7.2 Protection. Receiving Party shall not disclose or use any Confidential Information of Disclosing Party for any purpose other than performance or enforcement of this Agreement without Disclosing Party's prior written consent. If Receiving Party is compelled by law to disclose Confidential Information of Disclosing Party, including under the Freedom of Information Act or other public information request (i.e., "state sunshine" laws) it may, but is not obligated to provide Disclosing Party with prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance, at Disclosing Party's cost, if Disclosing Party wishes to contest the disclosure. Receiving Party shall protect the confidentiality of Disclosing Party's Confidential Information in the same manner that it protects the confidentiality of its own confidential information of like kind (but in no event using less than reasonable care). Receiving Party shall promptly notify Disclosing Party if it becomes aware of any breach of confidentiality of Disclosing Party's Confidential Information. 2. Remaining Terms. All other terms and conditions of the Agreement remain in full force and effect as amended by this Amendment.
