AMENDMENT NO. 1 TO AGREEMENT FOR CONTRACT SERVICES
WITH MERCHANT'S BUILDING MAINTENANCE
This Amendment No. 1 ("Amendment 1") to Agreement for Contract Services
("Agreement") is made and entered into as of the 17th day of June 2026, ("Effective Date")
by and between the City of La Quinta ("City"), a California Municipal Corporation and
Charter City organized under the Constitution and laws of the State of California with its
principal place of business at 78495 Calle Tampico, La Quinta, California 92253, and
Merchant's Building Maintenance, a California Limited Liability Corporation, with a place
of business at 1995 W Holt Ave, Pomona, CA 91768 ("Contracting Party").
RECITALS
WHEREAS, on or about June 6, 2023, the City and Contracting Party entered into
an Agreement to provide Janitorial Services, for a total not to exceed amount of
$1,537,626.78. The term of the Agreement expires on June 30, 2026 ("Initial Term"); and
WHEREAS, in accordance with Section 1.7 Additional Services of the Agreement,
the City and Contracting Party mutually agree to amend Section 3.2 Schedule of
Performance and related Exhibit C of the Agreement, specifically line Item 7a, to include
additional restroom cleaning services at the Fritz Burns Park as detailed in Exhibit C
attached to this Amendment No. 1 and incorporated herein by this reference; and
WHEREAS, in accordance with Section 2.3 Compensation for Additional Services,
the City and Contracting Party mutually agree the above mentioned additional services
shall be provided at a not to exceed amount of $73,210.32 as detailed in Exhibit C, which
is within the allowed 5% or less of the Contract Sum of $1,537,626.78 per Section 2.1
Contract Sum of the Agreement; and
WHEREAS, pursuant to Section 3.4 Term, the City and Contract Party mutually
agree to extend the term of the agreement for one (1) three (3) year term from July 1,
2026 through June 30, 2029 ("Extended Term").
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:
AMENDMENT
In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows:
1. Section 3.2 Schedule of Performance is amended to read as follows:
3.2 Schedule of Performance. All Services rendered pursuant to this Agreement
shall be performance diligently and within the time period established in "Exhibit
C" of the Agreement and amended "Exhibit C" of related Amendment No. 1 (the
Schedule of Performance"). Extensions to the time period specified in the
Schedule of Performance may be approved in writing by the Contract Officer, or
assigned designee.
2. "Exhibit C" — Schedule of Performance is amended to include the additional
services as listed in "Exhibit C," attached hereto and incorporated herein by this
reference.
3. Section 3.4 Term is amended to read as follows:
3.4 Term. Unless earlier terminated in accordance with provisions of Article 8.0 of
this Agreement, the term of this agreement shall commence on July 1, 2023, and
terminate on June 30, 2026 ("Initial Term"). This Amendment No. 1 shall extend the Term
from July 1, 2026, through June 30, 2029 ("Extended Term").
In all other respects, the original Agreement shall remain in effect.

Amendment No. 1 to the Agreement on the respective dates set forth below.
