A RESOLUTION OF THE LA QUINTA REDEVELOPMENT AGENCY
CONSENTING TO THE APPROVAL OF AN OWNER PARTICIPATION
AGREEMENT BY AND BETWEEN THE LA QUINTA REDEVELOPMENT
AGENCY AND WASHINGTON/ADAMS, L.P.1 A CALIFORNIA
LIMITED PARTNERSHIP, APPROVING THE PROVISION OF PU*LIC
IMPROVEMENTS AND MAKING OTHER FINDINGS'*.
WHEREAS, the La Quinta Redevelopment Agency hereinafter
referred to as the Agency") under the *provision of the
California Community Redevelopment Law, i* engaged in
activities necessary for the execution of the Redevelopment
Plan for te Redevelopment Project No. 2 hereinafter referred
to as the Pro*ect Area"); and
WHEREAS, Washington/Adams, L.P., a California limited
partnership the Participant") proposes to undertake the
provision of e*c.*n*i*e drainaQe, traffic, and other
infrastructure*** improvements**rovemen** the Agency Infrastructure
Improvements") and to develop substantial private on-site
improvements as more fully set forth in the Agreement" as
herein below defined; and
WHEREAS, based upon the report by the City Engineer and
testimony presented by the Participant, substantial
efficiencies and cost savings will be realized if the
Participant undertakes the Agency Infrastructure Improvements
as an integrated project with one contractor in conjunction
with the completion of improvements on the Site; and
WHEREAS, the Participant proposes to undertake the Agency
Infrastructure Improvements and the development of the Site on
the terms set forth in the Owner Participation Agreement
submitted herewith the Agreement"); and
WHEREAS, pursuant to the Agreement, the Agency is to bear
the cost of certain off-site improvements having a cost in
excess of Three Million Dollars $3,000,000), all as more
particularly set forth in the Agreement; and
WHEREAS, the provision of assistance of the Agency pursuant
to the Agreement, which is submitted herewith and is
incorporated herein by reference enhances the feasibility of
the activities of the Participant; and

WHEREAS, the Agency and the City Council have duly
considered all terms and conditions of the Agreement and
believes that the development of the Site pursuant to the
Agreement is in the best interests of the City and health,
safety, and welfare of its residents, and in accord with the
public purposes and provisions of applicable State and local
law requirements; and
WHEREAS, on April 17, 1990, the City Council approved a
Negative Declaration pursuant to its Environmental Assessment
89-150 the Negative Declaration") which encompassed all
development contemplated by the Agreement; and
WHEREAS, circumstances relative to such development have
not changed subsequent to the approval of the Negative
Declaration;
WHEREAS1 the Agency and the City Council have received and
considered the report of said Agency staff on the proposed
development to be carried out pursuant to the Agreement.
NOW THEREFORE, THE REDEVELOPMENT AGENCY OF THE CITY OF LA
QUINTA DOES RESOLVE AS FOLLOWS:
Section 1:
The Agency finds and determines that no supplemental or
further environmental clearance is required, and that the
environmental implications and effects all activities
contemplated pursuant to the Agreement have been adequately
addressed by the Negative Declaration.
Section 2:
The Agency finds and determines that: i) the provision of
the Agency Infrastructure Improvements is of benefit to the
Project Area and the neighborhood in which such Agency
Infrastructure Improvements are to be situated; ii) no other
reasonable means of financing the Agency Infrastructure
Improvements are available to the City of La Quinta; and iii)
the provision of the Agency Infrastructure Improvements is
exempt from statutory requirements of competitive bidding,
based upon the recitals set forth above and the evidence
submitted in connection with the consideration of this
Resolution.
Section 3:
The Agency approves the Agreement, and the provision of the
Agency Infrastructure Improvements pursuant to the terms of the
Agreement. The Agency authorizes the Executive Director, upon

consultation with Agency Counsel, to execute all documents
necessary and proper to effectuate the implementation of the
Agreement.
