A RESOLUTION OF THE LA QUINTA REDEVELOPMENT AGENCY
APPROVING A FIRST AMENDMENT TO THE OWNER
PARTICIPATION AGREEMENT BY AND BETWEEN THE LA QUINTA
REDEVELOPMENT AGENCY AND WASHINGTON/ADAMS L.P.
WHEREAS, the La Quinta Redevelopment Agency the Agency")
and Washington/Adams L.P., a California limited partnership
the Original Participant"), entered into a certain Owner
Participation Agreement, dated as of March 5, 1991 the
Agreement"); and
WHEREAS, the Agreement provides for the development of a
retail shopping center and requires the Agency and the Original
Participant to construct certain on site and off site public
improvements related to such shopping center; and
WHEREAS, the Agency and the Original Participant have been
proceeding to perform their respective obligations pursuant to
the Agreement; and
WHEREAS, the Agency and the Original Participant now desire
to amend the Agreement to provide for the Agency9s approval of
the assignment of the Agreement from the Original Participant
to Washington/Adams Partnership, a California general
partnership, to provide for the Agency*s construction of
certain additional public improvements, to approve a different
operator of the Pharmacy to be constructed on the Site, to
modify the Agreement To Be Recorded Affecting Real Property,"
and to make other changes as set forth in the First Amendment
to Owner Participation Agreement the Amendment"); and
WHEREAS, the approval and execution of the Amendment will
facilitate the orderly completion of the shopping center as
contemplated in the Agreement and in furtherance of the
Redevelopment Plan for La Quinta Redevelopment Project No. 2
the Redevelopment Plan").
NOW, THEREFORE, the La Quinta Redevelopment Agency does
resolve as follows:
Section 1. The Environmental Determination Exemption)
prepared with respect to the Amendment is based upon the
determination that, pursuant to Section 15061 of the State CEQA
Guidelines, there is no possibility that the Amendment will
have a significant effect on the environment beyond the effect
of the Agreement. The Agency approves the exemption, and

directs the Agency Secretary to prepare and file with the
County Clerk of the County of Riverside a Notice of Exemption
pursuant to Section 15061 of the State CEQA Guidelines.
Section 2. The Agency hereby approves the Amendment,
and authorizes and directs the Chairman of the Agency to
execute the Amendment on behalf of the Agency. A copy of the
Amendment shall be placed on file in the office of the Agency
Secretary.
Section 3. The Executive Director of the Agency or his
or her designee) is hereby authorized, on behalf of the Agency,
to sign all documents and take all actions necessary or
appropriate to carry out and implement the Agreement, as
amended by the Amendment, and to administer the Agency*s
obligations, responsibilities and duties to be performed under
the Agreement, as amended by the Amendment.
