Catellus/1st Implementation SFD 99FIRST IMPLEMENTATION AGREEMENT FOR AFFORDABLE HOUSING AGREEMENT FOR SINGLE-FAMILY RESIDENTIAL THIS FIRST IMPLEMENTATION AGREEMENT FOR AFFORDABLE HOUSING AGREEMENT FOR SINGLE-FAMILY RESIDENTIAL ("Agreement') is made as of March 18, 1999, by CATELLUS RESIDENTIAL COMMUNITIES, INC., a California corporation ("Developer") and the LA QUINTA REDEVELOPMENT AGENCY, a public body corporate and politic ("Agency") with references to the following facts: A. The AGENCY and CATELLUS RESIDENTIAL GROUP, INC., a California corporation ("CRG".), are parties to an AFFORDABLE HOUSING AGREEMENT FOR SINGLE- FAMILY RESIDENTIAL dated October 6, 1998 ("AHA-SFR"), which was recorded February 18, 1999, as Instrument No. 062841 in the Official Records of Riverside County, California. B. By Grant Deed dated February 12, 1999 and recorded February 16, 1999, as Instrument No. 59401 in the Official Records of Riverside County, California, CRG assigned its interests in the underlying property and the AHA-SFR to CATELLUS RESIDENTIAL COMMUNITIES, INC., a California corporation ("Developer"). C. AGENCY and CRG are also parties to a separate AFFORDABLE HOUSING AGREEMENT FOR SENIOR APARTMENTS dated October 6, 1998 ("AHA-SA") which was recorded February 11, 1999, as Instrument No. 055161 in the Official Records of Riverside County, California. D. By Grant Deed dated February 12, 1999 and recorded February 16, 1999, as Instrument No. 59400 in the Official Records of Riverside County, California, CRG assigned its interests in the underlying property and the AHA-SA to Developer. E. Both the AHA-SFR and AHA-SA provided for execution and recording separate Covenants, Conditions, and Restrictions and Deeds of Trusts (together, the "Associated Agreements") for the respective properties. F. Sections 606 of both the AHA-SFR and AHA-SA provide for amendments to said agreements for those issues which do not materially alter the business terms of the agreements but are required to implement the agreements. In situations where there are no substantial modifications to the business terms, the Agency Executive Director has the authority to approve and execute such amendments to each agreement. G. Agency granted title to the properties underlying the AHA-SFR and AHA-SA through two separate Grant Deeds with two separate legal descriptions. H. Developer is now processing a tract map to implement the AHA-SFR and finds that the line of demarcation between the two properties needs to be adjusted to properly correspond with the tract map. Specifically, the property described on the attached Exhibit A and illustrated on the attached Exhibit B needs to be released from the AHA-SA and Associated Agreements and re -encumbered under the AHA-SFR and Associated Agreements. NOW THEREFORE, in consideration of the foregoing, the Agency and the Developer hereby agree as follows: 1. The release of the property described under the attached Exhibit A from the AHA-SA and Associated Agreeements and re -encumbering under the AHA-SFR and Associated Agreements does not constitute a material change to either the AHA-SFR or AHA- SA, is necessary to implement the AHA-SFR and AHA-SA, and falls under the intent of Section 606 of the AHA-SFR and AHA-SA. 2. The Agency and Developer agree that the following Instruments will be executed to accomplish the objectives of this Agreement: a. Quit Claim Deed whereby Agency releases the property in the attached Exhibit A from the AHA-SA. This Quit Claim Deed will be signed by the Agency (Exhibit C). b. Request for Reconveyance (Exhibit D) to be signed by the Agency, whereby Agency requests First American Title Company, Trustee to release the property described in the attached Exhibit A, from the SA Deed of Trust and Security Agreement, with assignment of Rents and Agreements dated October 6, 1998. C. Agreement to encumber additional property under Affordable Housing Agreement for Single -Family Residential (Exhibit E) to be signed by both Agency and Developer. d. Agreement to encumber additional property under Deed of Trust and Security Agreement with Assignment of Rents and Agreements (Exhibit F), to be signed by Agency and Developer, whereby the property described in the attached Exhibit A is added as Security to the Deed of Trust encumbering the Single -Family Residential Site. e. Agreement to encumber additional property under Declaration of Covenants, Conditions, and Restrictions for Property (Exhibit G), to be signed by both Agency and Developer, whereby the property described in the attached Exhibit A shall be added under the Single -Family Covenants, Conditions and Restrictions. Through said Grant Deed Trustor assumed CRG's position under a $6,713,416 loan evidenced by a certain Developer Promissory Note secured by Deed of Trust dated as of October 6, 1998 ("Note"), which Note is secured by, among other things, a Deed of Trust and Security Agreement with Assignment of Rents and Agreements dated as of October 6, 1998, and recorded November 30, 1998, as Instrument No. 518771 in the Official Records of Riverside County, California ("Deed of Trust"), covering that certain fee estate in that certain real property described in Exhibit A attached thereto and incorporated herein by this reference. EXMIT F C. Trustor and Beneficiary desire to add the property described in Exhibit A and illustrated in Exhibit B attached hereto to the property encumbered by the Deed of Trust. NOW, THEREFORE, in consideration of the foregoing, Trustor and Beneficiary hereby amend the Deed of Trust as follows: 1. The "Witnesseth" paragraph of the Deed of Trust is hereby modified to add the legal description attached hereto as Exhibit A to the legal description existing under the Deed of Trust. 2. All references in the Deed of Trust to "Deed of Trust" shall refer to the Deed of Trust and this Agreement. 3. Except as otherwise expressly provided herein, all of the terms and provisions of the Deed of Trust shall remain unchanged and in full force and effect and are hereby ratified and affirmed. Covenantor is successor in interest to CATELLUS RESIDENTIA OUP, INC., a California corporation ("CRG"), under that DECLARATION OF COVENANTS, CONDITIONS, AND RESTRICTIONS ("C.C.&R.'s"), which was recorded November 30, 1998, as Instrument No. 518772. B. Covenantor assumed its position as through a Grant Deed dated February 12, 1999, recorded February 16, 1999, as Instrument No. 59401, whereby CRG granted its interest in the underlying property to Covenantor. C. Covenantor and Agency desire to add additional property to be encumbered under said C.C.&R.'s. NOW THEREFORE, in consideration of the foregoing, Developer and Covenantor hereby amend the C.C.&R.'s as follows: Pq!IBIT G 1. The land described hereto in Exhibits A and B is added to the property underlying said C.C.&R.'s, and originally described as Exhibit A to said C.C.&R.'s. From hereinafter any reference to the property encumbered under said C.C.&R.'s, shall reference the property described under the legal description, Exhibit A, to said original C.C.&R.'s, plus the property described in the legal description attached to this Agreement as Exhibit A and illustrated in Exhibit B. 2. Except as otherwise expressly provided herein, all of the terms and provisions of the C.C.&R.'s shall remain unchanged, in full force and effect, and are hereby ratified and affirmed.
