Riverside Co/Darby Road Maintenance 91MAINTENANCE AGREEMENT
This Agreement is between the City of La Quinta ("City") and the County of
Riverside ("County") for maintenance of Darby Road.
1. Purpose: Pursuant to Annexation No. 6 to the City of La Quinta,
LAFCO No. 91-19-4, a condition was imposed whereby "The City must execute an
agreement with the County for maintenance of Darby Road."
2. Definition: Maintenance shall be defined as those routine activities
performed to keep the road safe and includes, but is not limited to such activities as
patching pot holes, replacing signs and markers, grading shoulders, cleaning
culverts, removing weeds and trash from right-of-way and trimming trees.
3. City Obligation: City shall maintain Darby Road from City boundary
easterly to the end of the existing paved surface which is west of Adams Street.
4. Term: This Agreement shall remain in effect until such time as
jurisdiction for Darby Road rests solely with City as the result of a proposed
annexation or until, by mutual agreement of the parties this agreement is otherwise
terminated.
5. Liability: Neither party, its officers agents or employees, shall have
any liability for intentional or negligent acts, by omission or commission, by the
other party, or of any officer, agent or employee thereof. Each party shall

indemnify and hold the other party, there respective officers, agents, employees
and independent contractors harmless from any claim or action rising out of
performance of this Agreement with respect to any work to be performed by or
authority delegated to such party.
6. Notices: Any and all notices sent or required to be sent to the parties
to this Agreement will be mailed by first class mail, postage prepaid, to the following
