As a result of an Amendment to the La Quinta Municipal Code, Chapters 9.145 and 9.146, individuals may hold unto themselves "Development Rights" for future sale or use. 2. La Quinta Golf Properties, Inc. ("Transferor" � the owner of approximately One Hundred Sixty (160) acres more particularly described as Exhibit "A" attached hereto and incorporated herein by this reference ("Donor Parcel") executed an Option Agreement dated as of January 19,1993, between La Quinta Golf Properties, Inc. and W. C. Lusardi covering the transfer of Thirty-six (36) Development Entitlement Rights ("DERs") to the within described Donor Parcel. 3. As a result of the Amendment described in Paragraph 1 above, Section 3 of the "Notice of Transfer of Development Rights" recorded by Instrument No. 24323 on January 21, 1993, is hereby amended to permit Thirty-six (36) "Development Rights to be transferred to Mr. W. C. Lusardi. Therefore, according to the terms of said Option Agreement, Transferor, described in Paragraph 2 above, hereby transfers and returns these same Thirty-six (36) DERs to W. C. Lusardi ("Transferee"). Transferee (now the "Receiver"), has reserved to himself in perpetuity the development rights and credits described in Paragraph 4 to be transferred to one or more specific receiving parcel(s) of real property within the City of La Quinta in accordance with the La Quinta Municipal Code. 4. As a result of the transfer described in Paragraph 2 above, the number of dwelling units which may be permitted on the Donor Parcel by the City of La. Quinta by virtue of the General Plan Land Use and Density Designations has been reduced by Thirty-six (36) dwelling units. The number of dwelling units which may be permitted on the Recipient Parcel(s) by the City of La Quinta has been increased by a total of Thirty Six (36) dwelling units, subject to the restrictions as set forth in Chapter 9.145.060 (or other applicable sections) of the La Quinta Municipal Code. 01 D00H.431 357343 5. Upon identification of the additional Recipient Parcel(s) by the Transferee, there shall be recorded with respect to such Recipient Parcel(s) the right to develop Thirty-six (36) additional dwelling units, pursuant to the document required by Section 9.146.025 of the Municipal Code within the time set forth in Section 9.146.020 of the La Quinta Municipal Code. No transfer of Development Rights shall be effective until such document, duly executed by the City, is recorded. 6. The above -described and referenced transfer and corresponding increase and decrease in Development Rights and credits shall be appurtenant to the Donor Parcel and Recipient Parcel(s) and shall be binding upon the respective successors and assignees of the Transferor.
