The Consultant shall provide professional services as specified in the attached Scope of Work (Exhibit A) at the rate set forth therein. Total project cost, including expenses, shall not exceed $49,540. Compensation may include reimbursement for actual and necessary expenditures for reproduction costs, transportation expenses, telephone expense, and similar costs and expenses. The timing of invoices shall be monthly based upon percentage of work completed. The total of all invoices shall not exceed $49,540 plus approved reimbursable expenses. The payment of this compensation is subject to Consultant's Scope of Work, as set forth in Exhibit "A". The Consultant is an independent contractor, not an employee, and the Consultant is not entitled to any benefits of employment. The Consultant shall procure and maintain, at its cost, and submit concurrently with its execution of the Agreement, public liability and property damage insurance against all claims for injuries against persons or damages to property resulting from Consultant's acts or omissions rising out of or related to Consultant's performance under this Agreement. The insurance policy shall be primary for losses arising out of Consultant's performance hereunder and neither the City nor its insurers shall be required to contribute to any such loss. Ms. Nicole Criste, Terra Nova Planning & Research Professional Services Contract October 27, 2006 Page 2 of 3 A certificate evidencing the foregoing and naming the City and its officers and employees as additional insured shall be delivered to and approved by the City prior to commencement of the services hereunder. The amount of insurance required hereunder shall be $1,000,000.00. The Consultant shall also carry automobile liability insurance against all claims for injuries against persons or damages to property arising out of the use of any automobile by the Consultant, its officers, anyone directly or indirectly employed by the Consultant. It is understood that Consultant will not employ any subcontractors on this project. The automobile insurance policy shall be primary for losses arising out of Consultant's performance hereunder and neither the City nor its insurers shall be required to contribute to such loss. A certificate evidencing the foregoing shall be delivered to and approved by the City prior to commencement of the services hereunder. The Consultant shall defend, indemnify and hold harmless the City, its officers, officials, employees, representatives and agents, ("City indemnities)", from and against any and all actions, suits, proceedings, claims, demands, losses, costs, and expenses, including legal costs and attorneys' fees, for injury to or death of person(s), for damage to property (including property owned by the City) ("Claims") and for errors and omissions committed by Consultant, its officers, anyone directly or indirectly employed by Consultant, except to the extent of such Claims as may be caused by City's sole negligence or willful misconduct, or that of its officers or employees. In the event the City indemnities are made a party to any action, lawsuit, or other adversarial proceeding in any way involving such Claims, the Consultant shall provide a defense to the City indemnities, or at the City's option, reimburse the City indemnities their costs of defense, including reasonable attorneys' fees, incurred in defense of such claim. In addition the Consultant shall be obligated to promptly pay any final judgment or portion thereof rendered against the City indemnities. The City may at any time, for any reason with or without cause suspend or terminate this agreement upon the issuance of a ten (10) day notice by the City. Upon receipt of such notice, the Consultant shall cease all work under this Agreement. The City shall pay the Consultant for services performed up to the time of termination. The project does not technically qualify for a focused EIR as defined by CEQA, but the intent of this letter proposal is to result in a document which is technically complete, but succinct. Understanding of the Project Tentative Tract Map 33848 is a proposal to subdivide 4.84 acres located on the south wide of Avenue 58, west of Monroe Street into 17 single family lots. The property currently includes a residence which has been identified as an early adobe structure of potential significance. A historic resource survey was conducted by Archaeological Associates, and a Peer Review and on -site assessment was conducted by Architectural Resources Group. Following review by the Historic Preservation,Committee, an EIR is proposed for the project, focusing on historic resources. The Initial Study for the project has not yet been prepared, and would be required as part of the Notice of Preparation. Scope of Work In order to complete the proposed project EIR, we propose the following scope of work.,_ o Complete review of all data and information in preparation of a comprehensive project description and secure preliminary site plans, boundary maps and legal descriptions, tentative tract maps, and other exhibits, which illustrate the scope of site development. Develop project description to satisfaction of City. o Prepare a draft CEQA Initial Study Checklist.and Notice of Preparation (NOP) and transmit same for comment utilizing`a City -approved transmittal fist. Fifteen (15) copies shall also be transmitted to the State Clearinghouse thereby starting the 30-day- comment period. Comments received on the NOP shall be responded,to in the Draft EIR. o Contract for and manage supplement to the cultural resources report, to include: DO SOUTH FARRELL, SUITE B-205 ❑ PALM SPRINGS, CA 92262 ❑ (760) 320-9040 0 FAX (760) 322-271 Mr. Andrew Mogensen August 7, 2006 Pace 2 of 4 • Research into American Medical Association and California Board of Physicians archives to establish better history of Dr. West, who commissioned the adobe. • Research into La Quinta Historical Museum, City records, and archives of existing adobes to attempt to establish who the builder of the adobe was. • Parallel research will also be conducted at the Indio Library, Coachella Valley Historical Museum, and the Los Angeles.Central Library. • Access to the interior of the adobe will be required for preparation of a scaled floor plan, interior photographs, and general structural analysis. • Preparation of a report narrating and illustrating the findings of the research. The results of the research, as well as the previously prepared reports will be summarized in the EIR. o Prepare the Environmental Setting. Section of the EIR, establishing the regional and local background for the project. o Prepare the Existing Conditions, Environmental Impacts and Mitigation, Measures section with brief discussions of all subject areas required in the checklist with "Less Than Significant' or greater impacts in the Initial Study. It is expected that with the exception of cultural resources, sections will be very brief and will explain why impacts are not expected to be significant, in a manner similar to that which would normally be included in an Initial Study discussion. The air quality analysis shall include required construction and operational calculations for fugitive dust, moving emissions, etc. The biological resources and geotechnical studies prepared for the project will be summarized in this section as well. o Prepare all mandatory discussions (Unavoidable Significant, Impacts, Short -Term Productivity, Irreversible and Irretrievable Commitment of Resources,. Growth Inducing and Cumulative Impacts). Three Project Alternatives will be prepared, to include an off -site alternative, as required by CEQA. o City staff shall review the screencheck copy of Draft EIR prior to transmittal and Terra Nova shall amend the screencheck draft accordingly. o Terra Nova shalt prepare a draft Notice of Completion (NOC) and shall transmit the Draft EIR for public comment utilizing a City -approved transmittal list. Fifteen (15) copies shall also be transmitted to the State Clearinghouse thereby starting the 45-day public comment period. o Terra Nova shall prepare and facilitate City publication of Notice of Availability in conformance with Government Code and City requirements. o The City shall provide, Terra Nova with copies of comment letters received on the Draft EIR. Terra Nova will restate comments on the draft EIR and prepare responses Mr. Andrew Mogensen August 7, 2006 Page 3 of 4 to comments, conferring with City staff before finalizing responses: Terra Nova and City staff shall work cooperatively in the completion of Final EIR documentation. o Terra Nova will prepare findings of overriding consideration as needed. o Upon completion of the Anal EIR, Terra Nova shall facilitate the transmittal of this document to all commenting agencies/parties, as well as to those who have requested a copy from the City. Said transmittal must be accomplished at least 10 days prior to City EIR certification: o Terra Nova and City staff shall work cooperatively in the public presentation of the Draft and Final EIR, and recommendations at one public hearing before Planning Commission and one before the City Council: Project Budget The following budget would be required to accomplish these tasks. This includes the required 30 day NOP comment period, and 45 day DEIR comment period. Conclusion - I believe that this -letter proposal will result in a document which will address all CEQA issues while streamlining the process and expeditiously completing the work.
