PM Hodges Consulting/PW Dept. 07 February 23, 2007 Mr. Phil Hodges PM Hodges Consulting Services 28043 Hazelridge Drive Rancho Palos Verdes, CA 90275 RE: Professional Services Dear Mr. Hodges: This letter will memorialize the agreement between PM Hodges Consulting Services ("Consultant") and the City of La Guinta ("City") for professional consulting services relating to assisting the recently reorganized Public Works Department in creating its mission, vision and operating values ("Agreement"). Consultant shall provide professional services as specified in the attached proposal (Exhibit "A") at the rates set forth therein. Total estimated base fee, including expenses, shall not exceed $3,900. Compensation may include reimbursement for actual and necessary expenditures for reproduction costs, transportation expenses, telephone expenses, and similar reasonable costs and expenses. Transportation and lodging costs shall be approved in advance by the City. The Consultant is an independent contractor, not an employee, and the Consultant is not entitled to any benefits of employment with the City. For any month in which the Consultant has rendered professional services and wishes to receive payment, Consultant shall submit an invoice to the City no later than the thirtieth (30th) day of such month. Such invoice shall (1) describe in detail the services provided, including time and materials, (2) specify each staff member who has provided services and the number of hours assigned to each such staff member, and (3) indicate the total expenditures to date. Such invoice shall contain a certification by a principal member of PM Hodges Consulting Services specifying that the payment requested is for work performed in accordance with the terms of this Agreement. LA QUINTA, CALIFORi\L\ 92253 (760) 777-7000 .FAX (760) 777-7101 ~ The Consultant shall also carry motor vehicle liability insurance against all claims for injuries against persons or damages to property arising out of the use of any motor vehicle by the Consultant, its officers, anyone directly or indirectly employed by the Consultant. It is understood that Consultant will not employ any subcontractors on this project. The motor vehicle insurance policy shall be primary for losses arising out of Consultant's performance hereunder and neither the City nor its insurers shall be required to contribute to such loss. A certificate evidencing the foregoing shall be delivered to and approved by the City prior to commencement of the services hereunder. The Consultant shall defend, indemnify and hold harmless the City, its officers, officials, employees, representatives and agents, ("City Indemnities"). from and against any and all actions, suits, proceedings, claims, demands, losses, costs, and expenses, including legal costs and attorneys' fees, for injury to or death of person(s), for damage to property (including property owned by the City) ("Claims") and for errors and omissions committed by Consultant, except to the extent of such Claims as may be caused by City's sole negligence or willful misconduct, or that of its officers or employees. The City may at any time, for any reason with or without cause suspend or terminate this Agreement upon the issuance of a ten (10) day notice by the City. Upon receipt of such notice, the Consultant shall cease all work under this Agreement. The City shall pay the Consultant for services performed up to the time of termination. This Agreement shall commence on March 7, 2007, and shall remain and continue in effect until tasks are complete or it is terminated, but no later than June 30, 2007, unless mutually extended. During pur last phone conversation, you shared with me that the Public Works Department underwent an extensive management review recently that resulted in a number of staffing and procedural changes. You stated that you have new staff members and a renewed focus on customer satisfaction and that the department is ready to move forward as a whole toward common goals. You shared with me that the challenge is for management to define the goals clearly and bring them to staff to formulate a strategy to achieve those goals. You stated, and I . concurred; that a common vision and mission would give a frame work for devising this strategy. BOth the management review and department's annual goals refer to team building and employee empowerment as goals for this year. Assist the management team with insights on translating Operating Values into relevant, measurable behaviors for each division within the Department. Task 3 - Assist the management team in developing a compelling Vision Statement for the Department of Public Works as a focus for future planning and implementation strategies. As Corporate Manager of Industrial Relations for Xerox I acted a Chief Corporate Negotiator for fifty one collective bargaining agreements which included extensive in guiding groups with diverse interests and agendas in the creation and implementation of unified missions, visions and values. As a Consulting Partner with the Ken Blanchard Companies I provided guidance to a variety of organizational clients including an agency of the City of Sacramento in the development of their internal mission, vision, and values statements and action planning processes in support of the overall mission of their city. I hold a BS degree from the New York State School of Industrial Relation at Cornell University and have co-authored three books with Ken Blanchard on leadership.
