Subject to all of the terms and conditions hereof, Foundation hereby grants to Old Town a non-exclusive easement (the "Driveway Easement") over the Driveway Easement Area for purposes of ingress, egress and access to and from Old Town's Property as well as for the construction and maintenance of the Improvements. 2.2 Character of Driveway Easement. The Driveway Easement is appurtenant to Old Town's Property and shall inure to the benefit of Old Town and all successors in interest to Old Town's Property. The burden of the Driveway Easement is intended to and shall run with Foundation's Property and shall bind all successive owners of Foundation's Property. 2.3 Construction of Improvements and Maintenance of Driveway Easement Area. Old Town shall construct the Improvements pursuant to improvements plans which have been approved by the City of La Quinta. Old Town shall maintain the Driveway Easement Area, at its sole cost and expense, in good condition and repair, as required by all relevant governmental laws, regulations and ordinances. 3. Miscellaneous. 3.1 Captions: Incorporation by Reference. The captions used herein are for convenience only and are not a part of this Grant of Reciprocal Easements and do not in any way limit or amplify the terms and provisions hereof. Each of the Exhibits attached to this Grant of Reciprocal Easements is hereby incorporated into this document as if set forth in full herein. 3.2 Interpretation: Governing Law. This Grant of Reciprocal Easements shall be construed as if prepared by both parties hereto. Any rule of law or legal decision that would require interpretation of any ambiguities in this Grant of Reciprocal Easements against the drafting party shall not be applicable and is hereby waived. In the event of any legal action or other proceeding between the parties regarding this Grant of Reciprocal Easements (an "Action"), the prevailing party shall be entitled to the payment by the losing party of its reasonable attorneys' fees, expert witness fees, court costs and litigation expenses, as determined by the court. 3.4 Post -Judgment Attorneys' Fees. The prevailing party in any Action shall be entitled, in addition to and separately from the amounts recoverable under Section 3.3 above, to the payment by the losing party of the prevailing party's reasonable attorneys' fees, expert witness fees, court costs and litigation expenses incurred in connection with (a) any appellate review of the judgment rendered in such Action or of any other ruling in such Action, and (b) any proceeding to enforce a judgment in such Action. It is the intent of the parties that the provisions of this Section 3.4 be distinct and severable from the other rights of the parties under this Grant of Reciprocal Easements, shall survive the entry of judgment in any Action and shall not be merged into such judgment. 3.5 Severability. In the event that any phrase, clause, sentence, paragraph, section, article or other portion of this Grant of Reciprocal Easements shall become illegal, null or void, or against public policy, for any reason, or shall be held by any court of competent jurisdiction to be illegal, null or void, or against public policy, the remaining portions of this Grant of Reciprocal Easements shall not be affected thereby and shall remain in force and effect to the full extent permissible by law. 3.6 Binding Effect. Upon the sale, transfer or other conveyance of all or any portion of either Old Town's Property or Foundation's Property to any person or entity, the seller, transferor or conveyancer shall be released from all obligations and liabilities under this Grant of Reciprocal Easements that arise after the date of such sale, transfer or conveyance, and such purchaser or transferee shall automatically be bound thereby. 3.7 Iniunctive Relief. In the event of any violation or threatened violation of this Grant of Reciprocal Easements, either party shall have the right to enjoin such violation or threatened violation in a court of competent jurisdiction. Prior to the commencement of any such action, written notice of such violation shall be given to the other party. 3.8 Further Actions. The parties shall execute and deliver such further documents and shall take such further actions as may be reasonably necessary to effectuate the terms of this .Grant of Reciprocal Easements. 3.9 Counterparts.
