AMENDMENT NO.1 TO LEASE AGREEMENT FOR OFFICE SPACE INSIDE CITY HALL THIS AMENDMENT NO. 1 TO THE LEASE AGREEMENT FOR OFFICE SPACE INSIDE CITY HALL ("Amendment No. 1 ") is made and entered into as of the first day of July, 2015 ("Effective Date"), by and between the CITY OF LA QUINTA ("Landlord"), a California municipal corporation, and LA QUINTA CHAMBER OF COMMERCE ("Tenant"). RECITALS A. On or about November 18, 2014 the Landlord and Tenant entered into that certain Lease Agreement for Office Space inside City Hall ("Agreement"). B. Pursuant to Section 6, Rent and Operating Charges, the Landlord receives Eight Hundred Dollars ($800.00) per month from the Tenant for rent and utility charges ("Rent"). C. Pursuantto Section 24, Notices, the Tenant has notified in writing a requestto Landlord to abate all Rent from September 2015 through July 30 2016 for a total amount of Eight Thousand Dollars ($8,000.00) ("Total Payment"). The requestwas denied by the Landlord and instead both parties agreed to defertheTotal Payment to be collected on or before July 30, 2016. D. Landlord and Tenant now wish to amend the Agreement to modify Section 6, Rent and Operating Charges, to address the deferment of the Total Payment as identified during the September 15, 2015 City Council meeting. AMENDMENT In consideration of the foregoing Recitals and the covenants and promises hereinafter contained, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto agree as follows: 1. SECTION 6 OF THE AGREEMENT IS STRUCK IN ITS ENTIRETY AND AMENDED TO READ: 6. Rent and Operating Charges. Beginning December 1, 2014 through August 31, 2015, Tenant shall pay to Landlord monthly rent for use of the Premises in the amount of Six Hundred Dollars ($600.00) plus a flat monthly rate equal to Two Hundred Dollars ($200.00) for gas, water, and electric utility charges, for a total of Eight Hundred Dollars ($800.00) per month. Beginning September 1, 2015, Landlord agrees to defer monthly rent payments for a period of Ten (10) months for a total of Eight Thousand Dollars ($8,000.00). Tenant agrees to pay the deferred amount of Eight Thousand Dollars ($8,000) on or before July 30, 2016. If payment has not been made in full on or before July 30, 2016, late charges will be assessed as provided in Section 7, Late Charges. BeginningJuly 1, 2016, and continuingthroughout the rest oftheTerm, Tenant shall continue to pay the Rent and Operating Charges as described in Section 6, Paragraph I. Tenant shall be responsible to pay all possessory interest or other taxes (if any) and charges or fees (if any) for services provided by other utilities not covered under the flat monthly rate set forth in the proceeding sentence directly to the collector of any such taxes or utility provider of such service for the Premises and Tenant's use thereof. All payments required to be made under this Lease shall be hereinafter referred to as "Rent." Exceptfortaxes and utility fees or charges (if any) to be paid directly to the tax collector or utility provider as provided in this Section, all payments shall be paid by Tenant to Landlord in advance on the first (1st) day of each month without notice or demand from Landlord at Landlord's address as provided by Section 24 below. The Chamber pays $600 monthly rent, plus $200 monthly utilities, for this space. We are very grateful to the City for allowing us to be within the confines of City Hall. Our location provides many opportunities for us to meet potential new members and work with existing businesses for the betterment of the economic development of our City. Additionally, the location serves as a visitor center for new residents and tourists. SITUATION: The Chamber is currently undergoing a period of transition. While we expect a bright future, we are uncovering many unexpected obstacles to our current success. We have already put in place several new policies and procedures that should help us overcome our current financial shortfalls. Membership investment collections have been prioritized, new member fees have been reviewed, receivables are being pursued, payables are being addressed, and there is a new atmosphere of positive energy. We can only go up from here. REQUEST: The La Quinta Chamber of Commerce respectfully requests rent abatement for the balance of fiscal year 2015-2016. At $800 per month, this would total $8,000.
