2019-20 Gonzalves & Son - Lobbyist Services - Amendment 4 AMENDMENT NO. 4 TO PROFESSIONAL SERVICES AGREEMENT WITH JOE A. GONSALVES & SON This Amendment No. 4 to Professional Services Agreement (“Agreement”) is made and entered into as of the 1st day of July, 2019 ("Effective Date") by and between the CITY OF LA QUINTA ("City"), a California municipal corporation and charter city, and JOE A. GONSALVES & SON (“Consultant”). RECITALS WHEREAS, in August 2015 staff issued a Request for Proposals for lobbyist services; six proposals were received; and on October 6, 2015, following a study session consideration and discussion Council directed staff to procure the services of the Consultant; and WHEREAS, on or about October 21, 2015, the City and Consultant entered into an Agreement to provide government relations and lobbyist services for the City, for a total not-to-exceed amount of $29,129.03 (“Contract Sum”). The term of the Agreement expired on June 30, 2016; and WHEREAS, on or about July 1, 2016, the City and Consultant executed Amendment No. 1 and mutually agreed to extend the term of the Agreement for one additional year, from July 1, 2016 through June 30, 2017 (“Extended Term”), and increase the Contract Sum by additional compensation of $42,000 for fiscal year 2016/17, for a total not-to-exceed amount of $71,129.03; and WHEREAS, on or about July 1, 2017, the City and Consultant executed Amendment No. 2 and mutually agreed to extend the term of the Agreement for one additional year, from July 1, 2017 through June 30, 2018, and increase the Contract Sum by additional compensation of $42,000 for fiscal year 2017/18, for a total not to exceed amount of $113,129.03; and WHEREAS, on or about July 1, 2018, the City and Consultant executed Amendment No. 3 and mutually agreed to extend the term of the Agreement for one additional year, from July 1, 2018 through June 30, 2019, and increase the Contract Sum by additional compensation of $42,000 for fiscal year 2018/19, for a total not to exceed amount of 155,129.03; and WHEREAS, Section 3.4 Term, the City and Consultant have mutually agreed to extend the term of the Agreement for one additional term from July 1, 2019 through June 30, 2020 (“Extended Term”); and WHEREAS, Section 2.1 Contract Sum is being amended by additional compensation of $42,000 for fiscal year 2019/20, for a total not to exceed amount of $197,129.03. WHEREAS, the City is utilizing Consultant for services related to government relations and lobbyist services for the City; NOW THEREFORE, in consideration of the mutual covenant herein contained, the parties agree as follows: AMENDMENT In consideration of the foregoing Recitals and the covenants and promises hereinafter contained, and for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the parties hereto agree as follows: ϭ͘Section 2.1 Contract Sum. is amended by additional Forty-Two Thousand Dollars ($42,000), for a total not to exceed amount of $197,129.03. Ϯ͘Section 3.4. Term is extended for one additional year from July 1, 2019 to June 30, 2020 (“Extended Term”), unless earlier terminated in accordance with Section 8.8 or 8.9 of the Agreement. ϯ͘Exhibit & — Schedule of Performance In all other respects, the Original Agreement and subsequent Amendment Nos. 1, 2, and 3 shall remain in effect. Apr. 26 - Last day for policy committees to hear and report to fiscal committees fiscal bills introduced in their house. May 11 - Last day for policy committees to hear and report non- fiscal bills introduced in their house to Floor (J.R. 61(a)(3)) May 3 - Last day for policy committees to meet prior to June 5 (J.R. 61(a)(4)). May 17 - Last day for fiscal committees to hear and report to the Floor bills introduced in their house (J.R. 61(a)(5)). Last day for fiscal committees to meet prior to June 5 (J.R. 61(a)(6)). May 27 - Memorial Day. May 28-31 - Floor Session Only. No committees, other than conference or Rules committees, may meet for any purpose (J.R. 61(a)(7)). June 3 - Committee meetings may resume. June 15 - Budget Bill must be passed by midnight. July 12 - Last day for policy committees to meet and report bills. Summer Recess begins upon adjournment, provided Budget Bill has been Passed. Aug. 12 - Legislature reconvenes from Summer Recess. Aug. 30 - Last day for fiscal committees to meet and report bills. Sept 3-13 - Floor session only. No committees, other than conference or Rules Committees, may meet for any purpose (J.R. 61(a)(13)). Sept. 6 - Last day to amend on the Floor. Sept. 13 - Last day for each house to pass bills (J.R. 61(a)(15)). Interim Study Recess begins at end of this daVs session (J.R. 51(a)(4)). Oct. 13 — Last Day for Governor to sign or veto bills passed by the Legislature on or before Sept. 13 and in the Governor's possession after Sept. 13 (Art. IV, Sec. 10(b)(1)). When legislature is not in session, the Joe A. Gonsalves & Son will work with the City to refine and the strategy for the next year. 2020 Preliminary Legislative Schedule: Jan. 1- Statutes take effect (Art. IV, Sec. 8(c)). Jan 6- Legislature reconvenes (J.R. 51(a)(4)).
