Subject: Reimbursement Agreement for La Quinta Village Complete Streets Project, Change Order
004-Construct Sewer Manholes with added Shafting and Abandon Sewer Manhole
The City of La Quinta (City) has constructed a roundabout and other street improvements at
Calle Tampico and Desert Club Drive intersection in connection with the project commonly
referred to as the "La Quinta Village Complete Streets Project" (Project) in the City. The
Coachella Valley Water District (CVWD) has certain facilities which have been affected by the
Project at this intersection, including three (3) sewer manholes.
The City's contractor (Contractor) has issued change order 004 to: (i) abandon one CVWD sewer
manhole with concrete slurry and reconstruct two CVWD sewer manholes with additional
shafting necessary to be adjusted to grade.
CVWD is responsible for items (i) above (CVWD Portion of the Project). The City has offered
to cause its Contractor to complete the CVWD Portion of the Project in exchange for the
payment provided herein.
The CVWD Portion of the Project shall be completed in accordance with CVWD's design
criteria and Standards. The City shall cause the Contractor to complete the CVWD Portion of the
Project in accordance with CVWD design criteria and Standards.
CVWD shall have the right to (i) inspect the installation of the CVWD Portion of the Project,
and (ii) enforce the Standards for the CVWD Portion of the Project, including requiring that all
unacceptable material, workmanship and/or installation be repaired, replaced or corrected by the
Contractor. Upon completion of the Project, CVWD shall have the right to complete a final
inspection of the CVWD Portion of the Project and provide notice to the City either confirming
that the CVWD Portion of the Project is complete or setting forth a punch list of items that need
to be completed or corrected.

CVWD shall receive the same benefit as the City in its contract with the Contractor as to
insurance, indemnities, bonds, warranties, etc., as such applies to the CVWD Portion of the
Project.
Upon completion and acceptance of the CVWD Portion of the Project, CVWD shall remit to the
City the sum of thirty-two thousand eight hundred and ninety-four dollars and seventy-four cents
($32,894.74) in full payment for the construction of the CVWD Portion of the Project. This
payment is an estimate based off change order number 004 by the City's Contractor.
