RE: The City grants permission to Time Warner Cable Enterprises LLC
("TWC") to attach, install, maintain, operate, upgrade and remove the
equipment, cables, and devices described in exhibit A (the "Equipment")
to and at the property located at 78275 Calle Tampico La Quinta, CA
92253.

Authorization to Install and Maintain
Communications Equipment ("Agreement")
TC. Upon termination of this Agreement, TWC shall remove all Equipment and shall return the Property to a condition
that it ' as in prior to installation of said Equipment, reasonable wear and tear excepted.
In the event that the Equipment causes material cellular; interference with other equipment located at, in, or upon the
Property, upon notice from City or Owner of such interference,_T"WC will take commercially reasonable steps to correct
and eliminate the interference, If the interference is confirmed by 'TC and not eliminated within 72 hours, then, upon
the request of City or owner, T C shall shut down the Equipment causing or believed to cause the interference pending
the elimination of the interference, with the exception of intermittent testing upon prior notice to and with the approval of
City, which approval shall not be unreasonably withheld.
