justified, and the City’s determination shall be final and conclusive upon the parties to this
Agreement. Extensions to time periods for performance of services, which are determined
by the City to be justified pursuant to this Section, shall not entitle the Vendor to additional
compensation unless City expressly agrees to an increase in writing.
7. COUNTERPARTS. This Agreement may be executed in counterparts, each of which shall
be deemed to be an original, and such counterparts shall constitute one and the same
instrument.
8. INSURANCE. In accordance with Section 4 of Exhibit “A,” Vendor shall, at its expense,
procure and maintain for the duration of the Agreement such insurance policies as checked
below and provide proof of such insurance policies to the City. Vendor shall obtain policy
endorsements on Commercial General Liability Insurance that name Additional
Insureds as follows: The City of La Quinta, its officers, officials, employees and
agents.

Item Description Quantity Cost Total
Labor This agreement shall include Preventative Maintenance services (see
attached description) on all equipment located at the City of La
Quinta Wellness Center in La Quinta, CA. The PM Agreement’s
duration is for 1 year beginning on July 1st, 2022. It includes 1 PM
visit every month for a total of 12 PM visits throughout the year. There
are no hidden fees. Invoices will be submitted after each service. The
price set forth in this agreement will not change for 1 year and the
signed below agrees to the price for 1 year. After each service
performed, the customer will receive an email update of services
performed as well as a report of any safety issues and/or parts
needed for repairs. We provide all materials needed to perform the
services set forth by the manufacturer’s guidelines.
Required or recommended repairs must be approved by customer,
unless repairs are minor and can be done from parts inventory we
carry on hand. Customer also acknowledges that if a PAX Fitness
Repair technician deems machine/equipment to be unsafe for use,
he/she will disable machine and inform staff immediately either
verbally while on site, or through email updates.
