PLACER LABS, INC.
AMENDMENT TO ORDER FORM
This Amendment to Order Form (this "Amendment"), dated as of April 19, 2023 (the "Amendment
Date"), modifies the Order Form executed by City of La Quinta ("Customer") and Placer Labs, Inc.
("Placer") on or about July 15, 2020 (together with any other prior amendments thereto, the "Order
Form"). Unless otherwise defined, capitalized terms herein have the same meaning as in the Order Form.
Placer and Customer agree to amend the Order Form as follows:
1. The Term of the Order Form shall be extended through June 30, 2024.
a. Accordingly, Customer will be invoiced a total of $ 2,062.50 in May 2023
Notwithstanding any other provisions in Order Form, Customer shall not attempt to build a user
profile for a given individual or device based on data, information and materials accessible via the
services provided by Placer ("Placer Provided Data") and may not attempt, facilitate, or encourage
others to identify a given individual or user or reconstruct user profiles based on the Placer Provided
Data. For the avoidance of doubt, and without limiting any other restrictions or obligations,
Customer shall not use, license, sub -license or distribute Placer Provided Data or any data derived
from Placer Provided Data, for any of the following purposes: (I) in connection with establishing
eligibility for employment, health care, credit or insurance; (II) for making decisions solely by
automatic means where the decision has a significant effect on the individual to whom the data
relates; (III) for any unlawful tracking or unlawful surveillance purposes; or (IV) to market or sell
to law enforcement agencies or to any governmental agency to be used for a law enforcement
purpose.
In all other respects, the Order Form shall remain in full force and effect.
