AMENDMENT NO. 2 TO SHORT -FORM SERVICES AGREEMENT
WITH AMS SECURITY SERVICES
This Amendment No. 2 ("Amendment 2") to Short -Form Services Agreement
("Agreement") is made and entered into as of the 1st day of July 2023, ("Effective Date")
by and between the CITY OF LA QUINTA ("City"), a California municipal corporation and
AMS Security Services, an S-Corporation ("Vendor")
RECITALS
WHEREAS, on or about July 1, 2020, the City and Vendor entered into an
Agreement to provide alarm monitoring and maintenance services for fiscal year 2020/21
for a total not to exceed amount of $8,055 (annual cost of $10,740 minus a one-time
discount of $2,685). The term of the Agreement expired on June 30, 2021 ("Initial Term");
and
WHEREAS, in accordance Section 4 Term of the Agreement, the City and Vendor
mutually agreed to execute Amendment No. 1, on or about July 1, 2021, which extended
the Term of the Agreement for one additional two-year term, from July 1, 2021, through
June 30, 2023 ("Extended Term"); and amended Section 5 Compensation by increasing
the Contract Sum to $10,740 per fiscal year for the Extended Term, for a total not to
exceed amount of $29,535; and
WHEREAS, City and Vendor mutually agree to amend Section 3 Scope and
Schedule of Services to include 24-hour monitoring of the security and fire alarm systems
at the La Quinta X-Park and SilverRock Event Site; and
WHEREAS, in accordance with Section 4 Term of the Agreement, City and Vendor
mutually agree to extend the Term of the Agreement for 1 additional year, from July 1,
2023 to June 30, 2024 ("Extended Term"); and
WHEREAS, due to the aforementioned additional scope of work and term
extension, City and Vendor mutually agree to amend Section 5 Compensation to increase
the annual compensation to $12,036 for fiscal year 2023/24 as listed in detail in revised
Exhibit B, for a total not to exceed amount of $41,571 under this Agreement.
NOW THEREFORE, in consideration of the mutual covenant herein contained, the
parties agree as follows:

In consideration of the foregoing Recitals and the covenants and promises
hereinafter contained, and for good and valuable consideration, the sufficiency and
receipt of which are hereby acknowledged, the parties hereto agree as follows:
Section 3. Scope and Schedule of Services is amended to include 24-hour
monitoring of the security and fire alarm systems at the La Quinta X-Park and
SilverRock Event Site as listed in detail in revised "Exhibit B".
2, Section 4. Term is amended as follows:
The term of this Agreement shall be from July 1, 2020 to June 30, 2021 ("Initial
Term"); and extended for an additional two-year term from July 1, 2021 to June
30, 2023 via Amendment No. 1; and extended for 1 additional year, from July 1,
2023 to June 30, 2024 ("Extended Term"), unless earlier terminated as set forth
in the attached Terms and Conditions. This Agreement may be extended for one
additional year and executed in writing.
3. Section 5, Compensation is amended to increase the annual compensation to
$12,036 for fiscal year 2023/24 as listed in detail in revised "Exhibit B", for a total
not to exceed amount of $41,571 under this Agreement.

SCOPE AND SCHEDULE OF SERVICES
City of La Quinta
Alarm Monitoring & Maintenance
Extended Term Services Agreement
2023/2024
Included in this service agreement is 24-hour monitoring of the security alarm systems
and fire alarm systems listed under Extended Terms #1,
Any necessary reprogramming, communication transmitter replacements, battery
replacements and testing are included.
Annual fire inspections and any necessary ongoing maintenance to the systems are
included in this agreement.
Normal service hours are Monday — Friday, 8:00am to 4:00pm (excluding federal
recognized holidays). Afterhours, weekends, and holidays will be billed at $129 per
hour.
Telephone lines and power are to be provided at designated locations.
Any customer misuse, vandalism, natural disasters, or new equipment installations are
not covered Linder this agreement. All other labor and materials for replacements and
repairs are fully covered under this agreement.
